Entire Objection. If in the Response Notice the Indemnifying Party fully disputes the reported Loss, the Parties shall meet within five (5) Business Days following receipt of the Response Notice for the purpose of attempting to reach, in good faith, an agreement as to the treatment to be given to the reported Loss. The failure of the Parties to reach such an amicable solution may be settled by the dispute resolution mechanisms provided for in CHAPTER XI of this Agreement. The Parties acknowledge that they may choose not to initiate arbitration proceedings until the amounts in dispute are sufficient to justify recourse to arbitration, in the sole discretion of the Party claiming to be a creditor. In this case, such postponement shall not imply and shall not be construed as a waiver of any right, nor shall it be construed as recognition, implicit or explicit, of any claim or right of the other Party.
