Entry into Related Party Leases. (a) Vinyls and OpCo shall enter into the Xxxxxxx City Lease, substantially in the form attached hereto as Exhibit 2.4(a) and (b) Petrochemicals and OpCo shall enter into the Lake Xxxxxxx Lease, substantially in the form attached hereto as Exhibit 2.4(b). Pursuant to the terms of the Related Party Leases, OpCo shall pay a base rental of $1 per year per lease.

Entry into Related Party Leases. (a) SJR and WRSW shall enter into the Bloomfield Primary Lease, attached hereto as Exhibit 2.9 (a)-1, and the Memorandum of Lease related to the Bloomfield Primary Lease, attached hereto as Exhibit 2.9(a)-2; (b) WRSW and WR Terminals shall enter into (i) the Bloomfield Sublease, attached hereto as Exhibit 2.9(b)(i)-1, and the Memorandum of Lease related to the Bloomfield Sublease, attached hereto as Exhibit 2.9(b)(i)-2, and (ii) the Gallup Lease, attached hereto as Exhibit 2.9(b)(ii)-1, and the Memorandum of Lease related to the the Gallup Lease, attached hereto as Exhibit 2.9(b)(ii)-2, and (c) WRCLP and WR Terminals shall enter into the El Paso Lease, attached hereto as Exhibit 2.9(c)-1, and the Memorandum of Lease related to to the El Paso Lease, attached hereto as Exhibit 2.9(c)-2.
Entry into Related Party Leases. (a) WRSW and WR Terminals shall enter into (i) a Bloomfield Lease and Memorandum of Lease and (ii) a Gallup Lease and Memorandum of Lease, and (b) WRCLP and WR Terminals shall enter into an El Paso Lease and Memorandum of Lease.

Related to Entry into Related Party Leases

  • Related Party Contracts To the extent requested in writing by the Acquirer with respect to any specific identified contract prior to the Effective Time, the Company shall take all actions necessary to terminate, and shall cause to be terminated, each Related Party Contract, in each case without any further liability or obligation of the Company, the Surviving Corporation, Acquirer or any of their respective Subsidiaries or Affiliates and, in connection therewith, the Company (or its applicable Subsidiary) shall have received from the other party to such Related Party Contract a release in favor of the Company, the Surviving Corporation, Acquirer and their respective Subsidiaries and Affiliates from any and all liabilities or obligations arising out of such Related Party Contract.

  • Material Contracts and Transactions Other than as expressly contemplated by this Agreement, there are no material contracts, agreements, licenses, permits, arrangements, commitments, instruments, understandings or contracts, whether written or oral, express or implied, contingent, fixed or otherwise, to which Pubco is a party except as disclosed in writing to Priveco or as disclosed in the Pubco SEC Documents.

  • Real Property Leases Section 2.12 of the Disclosure Schedule lists all Leases and lists the term of such Lease, any extension and expansion options, and the rent payable thereunder. The Company has delivered to the Buyer complete and accurate copies of the Leases. With respect to each Lease:

  • Real Property; Leasehold Neither the Company nor any of its Subsidiaries owns or has ever owned any real property. The Company has made available to Parent (a) an accurate and complete list of all real properties with respect to which the Company directly or indirectly holds a valid leasehold interest as well as any other real estate that is in the possession of or leased by the Company or any of its Subsidiaries, and (b) copies of all leases under which any such real property is possessed (the “Company Real Estate Leases”), each of which is in full force and effect, with no existing material default thereunder. The Company’s use and operation of each such leased property conforms to all applicable Laws in all material respects, and the Company has exclusive possession of each such leased property and has not granted any occupancy rights to tenants or licensees with respect to such leased property. In addition, each such leased property is free and clear of all Encumbrances other than Permitted Encumbrances. The Company has not received written notice from its landlords or any Governmental Body that: (i) relates to violations of building, zoning, safety or fire ordinances or regulations; (ii) claims any defect or deficiency with respect to any of such properties; or (iii) requests the performance of any repairs, alterations or other work to such properties.

  • Property Leased Lessor leases to Lessee all of the Equipment described on each Summary Equipment Schedule. In the event of a conflict, the terms of the applicable Schedule prevail over this Master Lease.

  • Material Contracts; No Defaults (a) The SPAC has filed as an exhibit to the SPAC SEC Reports all Contracts, including every “material contract” (as such term is defined in Item 601(b)(10) of Regulation S-K of the SEC) (other than confidentiality and non-disclosure agreements and this Agreement) to which, as of the date of this Agreement, SPAC is a party or by which any of its respective assets are bound.
