(a) Schedule 4.12(a) lists all deferred compensation, profit-sharing, retirement and pension plans, and all material bonus and other employee benefit or fringe benefit plans, maintained or with respect to which contributions are made by Seller in respect of employees employed at the Purchased Assets ("Benefit Plans").
