E.S. A. nor its agents or members shall sponsor picketing or threaten to sponsor picketing during the term of this Agreement.
E.S. A. members shall not lose time or pay for the amount of time spent in such special conferences held during working hours.

T on the fifth anniversary after the Actual Effective Date (as defined in the Subscription Agreement) (the "Expiration Date"), up to ________ fully paid and nonassessable shares of the common stock of the Company (the "Common Stock"), $.0005 par value per share at a per share purchase price of $_____. The aforedescribed purchase price per share, as adjusted from time to time as herein provided, is referred to herein as the "Purchase Price." The number and character of such shares of Common Stock and the Purchase Price are subject to adjustment as provided herein. The Company may reduce the Purchase Price without the consent of the Holder. Capitalized terms used and not otherwise defined herein shall have the meanings set forth in that certain Subscription Agreement (the "SUBSCRIPTION AGREEMENT"), dated May ___, 2004, entered into by the Company and the Subscribers to the Company's securities. As used herein the following terms, unless the context otherwise requires, have the following respective meanings:
E.S. A.A. will be responsible for the timely payment of the following:
E.S. Contract;
E.S. President shall receive a list from the Employer of the employee or employees being laid off, on the same date that the notices are issued to the employees.
E.S. P. Employees will be paid for any time worked on a holiday at their regular rate of 20 pay and such time is considered time worked for the purposes of computing overtime.
E.S. P. Employees will be paid for any time worked on a holiday at their regular rate of pay and 47 such time is considered time worked for the purposes of computing overtime.
E.S. P. bargaining unit employees, who accept extra duty assignments beyond their regular 47 assignments, shall submit their extra duty time sheets to their immediate supervisor within the 1 pay period that the extra duty assignment was worked. Such employees shall receive their extra 2 duty assignment compensation on the second pay period of the next month.
