Escrow Claims by the Commission for Xxxxxxx Decommissioning Expenses or Payment of Taxes on Escrow Revenue. Upon the issuance of an order by the Commission that Escrow Funds shall be disbursed to Xxxxxxx in connection with: (i) (i) Xxxxxxx’x partial or full completion of its Decommissioning Obligations associated with the Installed Turbines and associated facilities or (ii) Xxxxxxx’x payment of taxes on Escrow Revenue, the Commission shall provide the Escrow Agent with written instructions substantially in the form of Exhibit D hereto (the “Xxxxxxx Claim Certificate”) specifying the nature of the claim and setting forth the precise amounts of Escrow Funds to be released to Xxxxxxx. Escrow Agent shall, in accordance with the Xxxxxxx Claim Certificate, pay to the Xxxxxxx account set forth in Exhibit F hereto, the amount of Escrow Funds set forth in the Xxxxxxx Claim Certificate on the first business day after the Escrow Agent’s receipt of the Xxxxxxx Claim Certificate. Promptly upon receipt of any Xxxxxxx Claim Certificate, but no later than the first business day after receipt, the Escrow Agent shall deliver a copy of such Xxxxxxx Claim Certificate to Xxxxxxx pursuant to the notice provisions set forth in Section 10 herein.

  • Engineer Payment of Subproviders No later than ten (10) days after receiving payment from the State, the Engineer shall pay all subproviders for work performed under a subcontract authorized hereunder. The State may withhold all payments that have or may become due if the Engineer fails to comply with the ten-day payment requirement. The State may also suspend the work under this contract or any work authorization until subproviders are paid. This requirement also applies to all lower tier subproviders, and this provision must be incorporated into all subcontracts.

  • Real Estate Taxes and Special Assessments The 2022 calendar year real estate taxes due and payable in 2023 shall be paid by Seller. Seller shall credit Buyer(s) at closing for said 2022 real estate taxes payable in 2023 based on the most recent ascertainable tax figures. Xxxxx is responsible for all subsequent real estate taxes.

  • Compensation for Reimbursable Expenses 11.8.1 Reimbursable Expenses are in addition to compensation for Basic, Supplemental, and Additional Services and include expenses incurred by the Architect and the Architect’s consultants directly related to the Project, as follows:

  • ASSISTANCE IN THE COLLECTION OF TAXES 1. The Contracting States shall lend assistance to each other in the collection of revenue claims. This assistance is not restricted by Articles 1 and 2. The competent authorities of the Contracting States may by mutual agreement settle the mode of application of this Article.
