– ESTABLISHING OF THE FIELD OPERATING DIVISION. 1.1 Pursuant to Article 9 of the Contract, SOC and Contractor shall set up a non- incorporated joint operating entity. FOD shall have all the necessary authorities to enable it to discharge its duties in this regard. In accordance with the authorities of the JMC as set out in Article 13.2 Contractor shall supervise, direct and manage all the planning, decisions, surveillance, and day to day conduct of Petroleum Operations by the FOD. Contractor shall act for and on behalf of the FOD to allow the FOD to perform its role under the terms of the Contract and for those purposes shall contract with and represent the FOD before all persons and entities including but not limited to , Sub Contractors, vendors or service providers and other third parties. The FOD shall be established promptly after the Effective Date, but shall fully take over the conduct of Petroleum Operations within twelve (12) Months from the Effective Date. The establishment of the FOD shall in no way relieve Contractor of its obligations to achieve the production targets under the Contract.

  • Professional Development Funds 23.1.1 Two Professional Development Funds, a Professional Development Support Fund and an Education Leave Fund, shall be established to support professional development activities as defined in 23.2. On April 1st of each year, the College will allocate an amount equal to no less than 0.9% of total faculty salary (exclusive of severance payments) to the Professional Development Support Fund, and an amount equal to no less than 0.6% of total faculty salary to the Educational Leave Fund.
