Excepted Sales. Section 1.3(c) and Section 1.3(d) shall not apply to: (A) any sale or transfer of Class B Common Stock to a Principal Holder or a “Permitted Transferee” (as defined in the Amended Securityholders Agreement) of the transferor; (B) any sale of Class B Common Stock in a distribution to the public pursuant to a registered public offering; or (C) any pledge made pursuant to a bona fide loan transaction creating a mere security interest.
Excepted Sales. The Co-Sale Rights provided in this Article shall not apply to sales by Selling Stockholders that are: (i) conducted through a broker; (ii) executed on any applicable Trading Market; and (iii) in an amount that, together with all shares of Common Stock sold for the account of any such Selling Stockholders within the preceding three months, does not exceed 1.0% of the outstanding shares of Common Stock shown on the Company’s most recent Annual, Quarterly or Current Report filed by the Company pursuant to the Exchange Act and the rules and regulations of the Commission promulgated thereunder.

  • Excepted Payments Notwithstanding any other provision of this Agreement or the Security Documents, any Excepted Payment received at any time by the Agent shall be distributed promptly to the Person entitled to receive such Excepted Payment.

The Dealer Manager hereby acknowledges and agrees that the Company, in its sole and absolute discretion, may accept or reject any subscription, in whole or in part, for any reason whatsoever or no reason, and no commission or dealer manager fee will be paid to the Dealer Manager with respect to that portion of any subscription which is rejected.
