Exceptions to Time Limitations. The representations and warranties contained in Sections 4.1(a)(i) and (b)(i) (Organization; Qualification; Good Standing), 4.2(a)(i) (Authorization for Agreement), 4.3 (Enforceability), 4.4(a), (b) and (d) (Capitalization; Subsidiaries and Affiliates), 4.5 (Matters Affecting Shares; Title to Shares), 4.37 (Brokers), 5.1 (Organization of Buyer), 5.2 (Authority of Buyer) and 5.4 (Brokers) (collectively, the “Fundamental Representations”) shall survive indefinitely. The representations and warranties contained in Sections 4.10 (Taxes) and 4.18 (Benefit Plans) shall survive the Closing for until 30 days after the expiration of the applicable statute of limitations including any suspensions, tollings or extensions thereof. The representations and warranties contained in Section 4.20 (Environmental Matters) shall survive for a period of five years from the Closing Date. All covenants and agreements contained in this Agreement will survive the Closing Date in accordance with their terms.
