Use Limitations. Your license is solely for the purposes of creating, presenting, hosting, analyzing, viewing and delivering Events (as defined below) to Authorized Users, subject to any limitation of Seats (as defined below) specified in the Order Form. “Event” means a single live broadcast event transmitted over the SaaS Service created and/or sponsored in whole or substantial part by Customer or Customer’s employees that is branded under Customer’s name. The term “Events” shall include both live and archived Events. “Seat” means each Authorized User served by a stream of digitally encoded data that delivers an Event to such Authorized User in the SaaS Service and shall include an Authorized User’s access to live Events and archived Events but does not include an access to a downloaded archived Event. A limitation on a number of Seats limits the number of unique Authorized Users of the Service.
Use Limitations. A. You agree to comply with all Federal and State regulations, the rules, regulations and policies adopted by DCCV, including but not limited to, DCCV's Acceptable-Use-Policy- [located at GET FROM BRIG], as modified from time to time; and the rules regulations and policies applicable to any network that you access through the Service. Any violation of such rules, regulation and policies, or any network policy document issued by DCCV, shall be cause for DCCV to suspend or terminate the Service.
B. Nothing contained in this Agreement may be construed to convey to you any interest, title, or license in the user-ID, electronic mail address, Universal Resource Locator, IP Address or domain name used by you in connection with the Service.
C. DCCV reserves the right to suspend or terminate the Service to you, or to suspend or terminate any user-ID, electronic mail address, Universal Resource Locator or domain name used by you, in the event it is used in a manner which (i) constitutes violation of any law, regulation or tariff (including, without limitation, copyright and intellectual property laws); (ii) is defamatory, fraudulent, obscene or deceptive; (iii) is intended to threaten, harass or intimidate; (iv) tends to damage the name or reputation of DCCV, its parent, affiliates and subsidiaries; or (v) interferes with other customers' use and enjoyment of the Services provided by DCCV.
D. You understand and agree that any attempt to break security, or to access an account which does not belong to you, shall be considered a material breach of this Agreement, and such breach may result in suspension or termination of the Service. You further agree to immediately notify DCCV of
(i) any unauthorized use of your account and/or (ii) any breach, or attempted breach, of security known to you.
E. The Service has been designed to be used at the residence or business at which it was installed. You may not allow other residences or businesses to connect to your Service or re-sell your Service in any manner. Such action may be subject to immediate termination and you will be charged termination fees, if applicable.
Use Limitations. Subscriber shall display the CPI Marks in connection with Subscriber Charging Stations as required in this Agreement during the term of Subscriber’s Cloud Plan. Subscriber shall not use any of the CPI Marks for or with any products other than its Charging Stations. From time to time, CPI may provide updated CPI Mark usage guidelines on the ChargePoint Application or elsewhere in the Documentation, and Subscriber shall thereafter comply with such updated guidelines. For any use of the CPI Mark not authorized by such guidelines, or if no such guidelines are provided, then for each initial use of the CPI Mark, Subscriber must obtain CPI’s prior written consent, which shall not be unreasonably withheld or delayed, and after such consent is obtained, Subscriber may use the CPI Mark in the approved manner. All use by Subscriber of CPI's Marks (including any goodwill associated therewith) will inure to the benefit of CPI.
Use Limitations. You agree to use the Service only for lawful purposes. You must provide at your own expense all telephone and Internet connections; equipment and Software needed to access and use the Service. The availability of the Service may be subject to interruption and delay due to causes beyond our reasonable control.
Use Limitations. Your usage is limited by the number of Authorized Users, Minutes, FTE, and Storage set forth in the Order Form or support terms of the Agreement. An “Authorized User” (or User or Active User) means any individual user of the platform, including but not limited to, students, teachers, parents of students, or employees of yours (including invited third-parties thereof) authorized to use the platform per the terms of this Agreement. Your usage in terms of the number of Authorized Users is determined by first taking the sum of unique authenticated users (via an LMS integration or authenticated into Collaborate via an invitation link) plus the peak of unauthenticated (guest) users on a monthly basis (the “Monthly Users”). For each annual contract period, the Authorized Users is equal to the average of the Monthly Users. This calculated average is then compared to the Authorized Users set forth in the Order Form or support terms of the Agreement. A “Minute” means each sixty-second interval in which an Authorized User is attending a session, event or playing back a recording of a session or event. For purposes of illustration only, 5 people in a 30-minute Collaborate session = 150 minutes; and if 3 of those 5 people watched the full 30-minute recording, you would incur an additional 90 minutes; for a total of 240 minutes total. "FTE" means the number of full-time students plus half of the part-time students enrolled at your institution. Minutes are sold in increments of 1 million minutes. “Storage” means the highest amount of storage utilization during the respective annual term of a client’s uploaded and hosted files, including but not limited to content files, media files and recordings, typically measured in gigabytes (GB) or terabytes (TB). By way of example only, if you are contracted for 1TB of storage, and your storage reaches 2TB in month two of your contract, you will be charged for 2TB of storage for that annual term of the contract. Storage is only sold in 1 TB allotments. Additional Authorized Users, Minutes, FTE, or Storage used in excess of the limitations set forth in the Order Form or support terms of the Agreement is subject to additional fees and purchase. Authorized Users, FTE, or unused Minutes or Storage below the limitations set forth in the Order Form or support terms of the Agreement, if any, are not eligible for rollover or carryover to subsequent Terms, or refund. Use Limitations. You acknowledge that the Software are subject to the operation and telecommunications infrastructures of the Internet and the operation of your Internet connection services, all of which are beyond Comodo’s control. The Software is not designed for high-risk environments, a failure of which could lead to death, personal injury, or severe damage.
Use Limitations. 14.1 Xxxxxx agrees to have no trampolines, swimming pools, regardless of size, or any item that overlays the grass so that it will eventually kill the grass.
Use Limitations i. The Agreement does not convey to Client any interest, title, or license in a userID, email address, or URL within the xXxxxxxXxxx.xxx domain or the domain of an iHealthSpot affiliate, or any iHealthSpot domain name or IP Address used by Client in connection with the Service.
ii. Client agrees to adhere to iHealthSpot’s Acceptable Use Policy, incorporated by reference in the Agreement and published on iHealthSpot’s website, xxx.xXxxxxxXxxx.xxx. iHealthSpot’s services may not be used in any way which violates Federal, State, Local, or International law. In the event of a violation, iHealthSpot reserves the right to immediately suspend or terminate Services.
iii. Client agrees to use the Service including the use of Forms only for Client’s own practice.
Use Limitations. Use Limitations. Customer agrees that it shall not exceed the Entitlements. Without limiting the generality of the foregoing, where the Sales Order indicates that an Application is provided on a per-User basis, Customer agrees that: (i) the maximum number of Users authorized to access and use each such Application shall not exceed the number of User subscriptions purchased; and (ii) it shall not allocate (or share) any User subscription among more than one individual User unless such User subscription has been reassigned in its entirety to another individual User.
