Exchange of the Company Shares. Each Ordinary Share, NIS 0.01 par value per share, of the Company (the “Company Shares”), issued and outstanding immediately prior to the Effective Time and immediately following the record date for the Cash Distribution, other than any Company Shares owned by any direct or indirect wholly-owned Subsidiary of Company or any dormant shares (menayot redumot) of the Company, shall automatically become owned by the Parent and represent solely the right to receive (the “Per Share Consideration”) 0.7429 (as the same may be adjusted pursuant to Section 5.12(c), the “Exchange Ratio”) of a share of Parent Common Stock, subject to the provisions of Sections 1.3(e) and 1.3(f), payable to the holder of such Company Share upon surrender of the certificate representing such Company Share in the manner provided in Section 1.4 (or in the case of a lost, stolen, destroyed or unissued certificate, upon delivery of an affidavit and bond in the manner provided in Section 1.6). As of the Effective Time, all of the Company Shares shall automatically be owned by the Parent, and will be registered in its name in the shareholders registry of the Company.
