Exclusiveness of this Agreement. This written agreement is the first of two contracts between the Parties regarding the specified art projects. This contract cannot be modified without the expressed agreement of all Parties.

Exclusiveness of this Agreement. LDDI and NBC agree that during the term of this Agreement NBC will not enter into a customer referral relationship involving a potential equity position with any other entity that provides services similar to LDDI's to a marketplace similar to LDDI's marketplace. Specifically, NBC maintains the right to have a relationship with an entity providing telecommunication services to large corporations. LDDI agrees not to provide data to or contract with any firm that competes with NBC for the services described in Recital A of the Recitals section of this Agreement.

  • Effectiveness of this Agreement This Agreement shall become effective upon the execution and delivery hereof by the parties hereto.

In the event that all or any part of a payment or distribution made with respect to the Parity Lien Obligations is recovered from any holder of Parity Lien Obligations or any Parity Lien Representative in an Insolvency or Liquidation Proceeding or otherwise, such payment or distribution received by any holder of Junior Lien Obligations or Junior Lien Representative with respect to the Junior Lien Obligations from the proceeds of any Collateral at any time after the date of the payment or distribution that is so recovered, whether pursuant to a right of subrogation or otherwise, that Junior Lien Representative or that holder of a Junior Lien Obligation, as the case may be, will forthwith deliver the same to the Collateral Trustee, for the account of the holders of the Parity Lien Obligations and other Obligations secured by a Permitted Prior Lien, to be applied in accordance with Section 3.4. Until so delivered, such proceeds will be held by that Junior Lien Representative or that holder of a Junior Lien Obligation, as the case may be, for the benefit of the holders of the Parity Lien Obligations and other Obligations secured by a Permitted Prior Lien.

  • Effectiveness and Term of this Agreement 12.1 This Agreement shall come into effect upon the satisfaction of all of the following conditions:

The remaining Parts set forth, among other things, descriptions of the services, pricing, technical and business requirements, and physical and network security requirements.
