Execution of Operating Agreement. Operator, Matador, Xxxxxxx and Participant agree promptly to execute and deliver the form of Operating Agreement (the ‘Operating Agreement’), attached hereto as Exhibit F, naming Matador Production Company as Operator. All operations of all Leases located within the AMI (as defined below) in which Participant, Matador and Xxxxxxx (or their respective successors or assigns) jointly own working interests will be conducted under the terms of the Operating Agreement. Operator, Matador, Xxxxxxx and Participant agree to amend Exhibit “A” to the Operating Agreement by inserting an addendum to reflect the working interest of the Parties with respect to the Leases reflecting the working interests owned in such Leases by the Participant after giving effect to the Amendment.”
Execution of Operating Agreement. Each additional Person admitted as a Member of the Company or to a Series of the Company, shall execute and deliver to the Company a counterpart of this Master Operating Agreement and any Separate Series Operating Agreement as appropriate.
Execution of Operating Agreement. At the Time of Closing, Duraskid US, Woodco and the Company will enter into the Operating Agreement.
Execution of Operating Agreement. As a condition of exercising the Warrant and receiving Common Units, Investor (or Investor’s permitted assignee) shall execute the then current VirtualScopics Operating Agreement if requested to do so by Company.
Execution of Operating Agreement. The Purchaser shall have delivered to the Sponsor an executed signature page to the Operating Agreement.
Execution of Operating Agreement. 7.1 At Closing, the Parties shall execute a Standard A.A.P.L. Form 610 - 1989 Revised Model Operating Agreement, substantially identical in form to that form attached to this Agreement and made a part hereof as Exhibit “B” (the “JOA”). The JOA shall be executed by the Operator and shall be executed by GWPC, Xxx Xxxxxx and Participant as non-operators. It is hereby agreed that the JOA will cover the Lease and all oil and/or gas operations on the Prospect Area that are associated with Participant’s participation in the Prospect Xxxxx. If any provision of the JOA and this Agreement conflict, the terms and provisions of this Agreement shall prevail.
