Execution of Transfer Documents. At the Closing, the appropriate entities shall execute and deliver, effective as of the Closing Date, transfer documents in forms to be mutually agreed upon by Storm and Cyclone for each country in which assets will be transferred to effect the conveyances described in Section 2.1 (the “Transfer Documents”). Any conflicts between the Transfer Documents and this Agreement shall be resolved in favor of this Agreement.
Execution of Transfer Documents. Seller, and Buyer as indicated, shall execute, acknowledge and deliver the following:
(1) An assignment, xxxx of sale and conveyance (in sufficient counterparts to facilitate recording) in form and substance as set forth in Exhibit 7.3(a)(1) hereto, or such other conveyances, assignments, transfers, bills of sale and instruments acceptable to Buyer, conveying good and marketable title to the Gathering System to Atlas Ohio (or to such persons or entities, and in such percentages, as Buyer may direct), free and clear of all liens, encumbrances, burdens, claims and defects of title of any kind.
(2) Partnership and Seller shall execute and deliver the Registration Rights Agreement.
(3) Partnership shall deliver to Seller a certificate representing the Units.
Execution of Transfer Documents. At the time specified in paragraph 4 below, Arizona Escrow shall, pursuant to the terms of the POA, a copy of which is appended hereto as Exhibit "B" and is by this reference made a part hereof for all purposes, execute and complete the transfer of ownership of the Domain Name to Telco by completing a Registrant Name Change Agreement through which Telco will become the Registrant of the Domain Name and thereby become the owner of the Domain Name, and/or such further documents, Agreement, Bills of Sale, Assignment and/or other documents as may be necessary to effectuate the transfer of the right, title and interest to the Domain Name from Onramp to Telco. Arizona Escrow shall be provided the forms necessary for the transfer of ownership of the Domain Name by Telco, and shall be entitled to rely on such forms in completing its escrow duties hereunder.

Execution of Transfer Documents. At the Closing, the appropriate entities shall execute and deliver, effective as of the Closing Date, transfer documents in substantially the form set forth on Exhibit 3.2.1 (U.S.) and Exhibit 3.2.2 (non-U.S.) for each country in which assets will be transferred to effect the conveyances described in Section 2.1 and Section 2.2 (the "TRANSFER DOCUMENTS"); provided, however, that each such conveyance document may be revised as necessary to comply with the local country laws. Any conflicts between those conveyance documents and this Agreement shall be resolved in favor of this Agreement.
Execution of Transfer Documents. Seller shall have executed and delivered to Purchaser such bills of sale, warranty deeds, assignments, certificates of title and any and all other instruments of conveyance and transfer as shall have been required by Purchaser and Purchaser's counsel in order to effectively convey and transfer to Purchaser the Purchased Assets, free and clear of all security interests, liens, assessments, levies, encumbrances, restrictions and other burdens except for the items identified in Schedule 1.5.
