Execution of Unit Certificates. Unit Certificates shall be signed on behalf of Holdings by Holdings' Chairman of the Board or a President or a Vice President and by a Secretary or an Assistant Secretary under Holdings' corporate seal. Each such signature upon the Unit Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Vice President, Treasurer, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Unit Certificates and for that purpose Holdings may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Vice President, Treasurer, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Unit Certificates shall be authenticated and delivered or disposed of he or she shall have ceased to hold such office. The seal of Holdings may be in the form of a facsimile thereof and may be impressed, affixed, imprinted or otherwise reproduced on the Unit Certificates. In case any officer of Holdings who shall have signed any of the Unit Certificates shall cease to be such officer before the Unit Certificates so signed shall have been authenticated by the Unit Agent, or disposed of by Holdings, such Unit Certificates nevertheless may be authenticated and delivered or disposed of as though such person had not ceased to be such officer of Holdings. Unit Certificates shall be dated the date of authentication by the Unit Agent.
Execution of Unit Certificates. (a) Each Unit Certificate shall be signed on behalf of the Company by its Chairman of the Board or its President, Chief Executive Officer, Chief Operating Officer, Treasurer, Chief Financial Officer or a Vice President and by its Secretary or an Assistant Secretary. In case any officer of the Company who shall have signed any of the Unit Certificates shall cease to be such officer before the Unit Certificates so signed shall have been countersigned by the Unit Agent, or disposed of by the Company, such Unit Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Unit Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Unit Certificate, shall be a proper officer of the Company to sign such Unit Certificate, although at the date of the execution of this Unit Agreement any such person was not such officer. Unit Certificates shall be dated the date of counter-signature by the Unit Agent.
Execution of Unit Certificates. Any unit certificate issued pursuant to Section 4.8 must be signed by at least one authorized signatory of the General Partner, but any signature appearing thereon may be mechanically reproduced, and the validity of a certificate will not be affected by the fact that a Person whose signature is so reproduced is deceased or no longer holds the office which he held when the reproduction of his signature in that office was authorized.

Every Unit Certificate must be signed by at least one officer or director of the General Partner and by at least one authorized representative of the Registrar and Transfer Agent (if the General Partner is not the Registrar and Transfer Agent), but any signature, other than that of the authorized representative of the Registrar and Transfer Agent, appearing thereon may be mechanically reproduced, and the validity of a Unit Certificate will not be affected by reason that a Person whose signature is so reproduced is deceased or no longer holds the office which he or she held when the reproduction of his or her signature was authorized.
Execution of Unit Certificates. The Unit Certificates shall be executed on behalf of the Company by its Chairman of the Board, Chief Executive Officer or President or any Vice President, and by its Chief Financial Officer or Treasurer or any Assistant Treasurer, or Secretary or any Assistant Secretary, either manually or by facsimile signature printed thereon. The Unit Certificates shall be manually countersigned and dated the date of countersignature by the Unit Agent and shall not be valid for any purpose unless so countersigned and dated. In case any authorized officer of the Company who shall have signed any of the Unit Certificates shall cease to be such officer of the Company either before or after delivery thereof by the Company to the Unit Agent, the signature of such person on such Unit Certificates shall, nevertheless, be valid and such Unit Certificates may be countersigned by the Unit Agent and issued and delivered to those persons entitled to receive the Units represented thereby with the same force and effect as though the person who signed such Unit Certificates had not ceased to be such officer of the Company.
Execution of Unit Certificates. Unit Certificates ------------------------------ shall be signed on behalf of the Company by the Chairman of the Board, its President or an Executive Officer of the Company and on behalf of the Partnership by the manager (the "Manager") of XX XX Acquisition LLC (each an "Executing Officer"), a Texas limited liability company and general partner of SW I Acquisition GP, L.P., a Texas limited partnership and general partner of the Partnership. Each such signature upon the Unit Certificates may be in the form of a facsimile signature of the Executing Officer and may be imprinted or otherwise reproduced on the Unit Certificates. In case any Executing Officer of the Company or the Partnership who shall have signed any of the Unit Certificates shall cease to be an Executing Officer before the Unit Certificates so signed shall have been authenticated by the Unit Agent, or disposed of by the Company or the Partnership, such Unit Certificates nevertheless may be authenticated and delivered or disposed of as though such person had not ceased to be an Executing Officer of the Company or the Partnership; and any Unit Certificate may be signed on behalf of the Company or the Partnership by any person who, at the actual date of the execution of such Unit Certificate, shall be a proper Executing Officer of the Company or the Partnership to sign such Unit Certificate, although at the date of the execution of this Unit Agreement or the authentication of any such Unit Certificates any such person was not such officer or manager.
Execution of Unit Certificates. Every Certificate must be signed by at least one authorized signing officer of the General Partner (or where the General Partner is a limited partnership, of the general partner thereof) and the validity of a Certificate will not be affected by the circumstance that a person whose signature is so reproduced is deceased or no longer holds the office which he or she held when the reproduction of his or her signature in that office was authorized. The signature of any authorized signing officer of the General Partner (or where the General Partner is a limited partnership, of the general partner thereof) may be mechanically reproduced in facsimile and Certificates bearing such facsimile signature shall be binding upon the Partnership as if the Certificate had been manually signed by such authorized signing officer; provided, however, that all Certificates shall bear at least one manual signature.
