EXPANSION OF CLINIC. ProMedCo-Temple will pursue various programs to increase revenue and profitability including assisting KDCP in adding additional office based procedures, ancillary services and adding additional satellite office(s) as determined by the Policy Council to be beneficial to the Clinic. ProMedCo-Temple will also assist in recruiting new physicians and developing relationships and affiliations with other physicians, hospitals, networks, HMOs, etc. To assist in the continued growth and development of the Clinic within a 30 mile radius of Temple, Texas, ProMedCo-Temple may acquire other physician practices for incorporation into KDCP. KDCP will cooperate with ProMedCo-Temple in such expansion efforts and use its reasonable efforts to assist ProMedCo-Temple with respect thereto. Without limiting the generality of the foregoing, neither party not enter into any agreements with respect to any such matter without the prior approval of the Policy Council.

ProMedCo will also assist in recruiting new physicians and developing relationships and affiliations with other physicians, hospitals, networks, HMOs, etc. To assist in the continued growth and development of the Clinic, ProMedCo may acquire other physician practices for integration into ADC as approved by the Policy Council. ADC will cooperate with ProMedCo in such efforts and use its best efforts to assist ProMedCo with respect thereto. Without limiting the generality of the foregoing, ADC will not enter into any agreements with respect to any such matter without the prior consent of ProMedCo. ProMedCo shall not establish, operate, manage, or in any way own or operate any medical facility, clinic, or other health care facility providing services within a radius of twenty-five (25) miles of the Taylxx Xxxnty Courthouse in Abilene, Texas, or within a radius of twenty-five (25) miles of any current or future medical office, clinic, or other health care facility from which ADC provides medical services, without the consent of ADC.

CPC will cooperate with ProMedCo in such expansion efforts and use its good faith efforts to assist ProMedCo with respect thereto. Without limiting the generality of the foregoing, CPC will not enter into any agreements with respect to any such matter without the prior consent of ProMedCo.

EXPANSION OF CLINIC. ProMedCo-SW will pursue various programs to increase revenue and profitability including assisting NMC in adding additional office based procedures, ancillary services and adding additional satellite office(s) as determined by the Policy Council to be beneficial to the Clinic. ProMedCo-SW will also assist in recruiting new physicians and developing relationships and affiliations with other physicians, hospitals, networks, HMOs, etc. To assist in the continued growth and development of the Clinic, ProMedCo-SW may acquire other physician practices. NMC will cooperate with ProMedCo-SW in such expansion efforts and use its reasonable efforts to assist ProMedCo-SW with respect thereto. Without limiting the generality of the foregoing, neither NMC nor ProMedCo-SW will enter into any discussions or agreements with respect to any such matter without the prior consent of the Policy Council. Neither ProMedCo-SW, ProMedCo nor any affiliate of either shall acquire or provide management services to any other medical practices, ancillary providers or medical facilities in Xxxxxxx, Xxx or Charlotte County, other than as a result of combining such entity with NMC on terms and subject to conditions approved by the Policy Council; provided, however, that the foregoing shall not be applicable to any medical practices, ancillary providers or medical facilities in Charlotte County with respect to which ProMedCo had entered into discussions or with which it had a letter of intent on the Effective Date, or in the event that a medical practice, ancillary provider or medical facility in Charlotte County shall decline, after exhausting the best and good faith efforts of ProMedCo and NMC, to participate with NMC and the Policy Council shall consent thereto, which consent shall not be unreasonably withheld or conditioned on payment of any consideration to NMC. ProMedCo and ProMedCo-SW shall not be deemed to be in default under this provision if ProMedCo acquires, or is acquired by, an entity with multiple medical facilities both inside and outside of the Xxxxxxx/Xxx/Xxxxxxxxx County area.

ProMedCo will also assist in recruiting new physicians and developing relationships and affiliations with other physicians, hospitals, networks, HMOs, etc. To assist in the continued growth and development of the Clinic, ProMedCo may acquire other physician practices. NTMS will cooperate with ProMedCo in such efforts and use its best efforts to assist ProMedCo with respect thereto. Without limiting the generality of the foregoing, NTMS will not enter into any agreements with respect to any such matter without the prior consent of ProMedCo.
EXPANSION OF CLINIC. As more fully set forth in Section 11 below, Texas Sub will, at Texas Sub's expense, assist Metroplex in attempting to establish satellite offices, as mutually determined by Texas Sub and Metroplex to be beneficial to the Clinic, and in developing relationships and affiliations with physicians and other specialists, hospitals, networks, HMO's, PPO's, etc. to assist in the continued growth and development of the Clinic. Metroplex will cooperate with Texas Sub in such efforts and use its best efforts to assist Texas Sub with respect thereto, to the extent it is able in light of its primary obligation to treat patients of the Clinic such that absences by Metroplex Providers for these services do not unduly burden the patient care activities of the Clinic. Additionally, Texas Sub recognizes that it is to the benefit of the community that appropriate healthcare resources are available in a coordinated and effective fashion. Accordingly, consistent with Texas Sub's and Metroplex's assessment of the community's need, Texas Sub will assist Metroplex in identifying additional equipment which is appropriate for the operation and expansion of the Clinic in an efficient and quality manner and that is also economically suitable. Texas Sub also shall be responsible for the replacement of obsolete or poorly functioning equipment.
EXPANSION OF CLINIC. Manager shall use reasonable efforts to, and will assist Practice in attempting to, add additional office-based procedures, establish satellite office(s), as determined by Practice and Manager to be beneficial to the Clinic. Upon request of Practice, Manager will consult and advise Practice regarding development of relationships and affiliations with physicians and other specialists, hospitals, networks, health maintenance organizations, preferred provider organizations, and similar organizations to assist in the continued growth and development of the Clinic. Practice will not enter into any agreements with respect to any such matters without the prior consent of Manager.
EXPANSION OF CLINIC. ProMedCo-Harrisburg will pursue various programs to increase revenue and profitability including assisting BEACON in adding additional office based procedures, ancillary services and adding additional satellite office(s) as determined by the Policy Council to be beneficial to the Clinic. ProMedCo-Harrisburg will also assist in recruiting new physicians and developing relationships and affiliations with other physicians, hospitals, networks, HMOs, etc. To assist in the continued growth and development of the Clinic, ProMedCo-Harrisburg may acquire other physician practices. BEACON will cooperate with ProMedCo-Harrisburg in such expansion efforts and use its reasonable efforts to assist ProMedCo-Harrisburg with respect thereto. Without limiting the generality of the foregoing, BEACON will not enter into any agreements with respect to any such matter referred to in this Section 3.3 without the prior consent of ProMedCo-Harrisburg.
