Common use of Extent of Services Clause in Contracts

Extent of Services. Except for illnesses and vacation periods, Executive shall devote substantially all his working time and attention and his best efforts to the performance of his duties and responsibilities under this Agreement. However, Executive may (i) make any passive investments where he is not obligated or required to, and shall not in fact, devote any managerial efforts, (ii) subject to approval by the Company (which approval shall not be unreasonably withheld or withdrawn), participate in charitable or community activities or in trade or professional organizations, or (iii) subject to approval by the Company (which approval shall not be unreasonably withheld or withdrawn), hold directorships in public companies, except only that the Company shall have the right to limit such services as a director or such participation in charitable or community activities or in trade or professional organizations whenever the Company shall believe that the time spent on such activities infringes in any material respect upon the time required by Executive for the performance of his duties under this Agreement or is otherwise incompatible with those duties.

However, the Executive may (so long as the following do not materially interfere with the performance of the Executive’s duties hereunder) (i) make any passive investments (including, without limitation, continuing existing investments with Remington Hotel Corporation or its affiliates) where he is not obligated or required to, and shall not in fact, devote any material managerial efforts, (ii) subject to approval by the Company (which approval shall not be unreasonably withheld or withdrawn), participate in charitable charitable, academic or community activities or in trade or professional organizations, or (iii) hold directorships in charitable or non-profit organizations, or (iv) subject to CEO and Board approval by the Company (which approval shall not be unreasonably withheld or withdrawn), hold directorships in public for profit companies, except only that the Company CEO or the Board shall have the right to limit such services as a director or such participation in charitable or community activities or in trade or professional organizations whenever the Company CEO or the Board shall reasonably believe that the time spent on such activities infringes in any material respect upon the time required by the Executive for the performance of his duties under this Agreement or is otherwise incompatible with those duties.

However; provided, however, that nothing herein contained shall be deemed to prevent or limit the right of Executive may (ia) to make any passive investments where he Executive is not obligated or required to, and shall not in fact, devote any managerial efforts, (iib) subject to approval by the Company (which approval shall not be unreasonably withheld or withdrawn), participate in charitable or community activities or in trade or professional organizations, or (iiic) subject to approval by of the Chief Executive Officer of the Company (which approval shall not be unreasonably withheld or withdrawn), hold directorships in public companies, except only that the Chief Executive Officer of the Company shall have the right to limit such services service as a director or such participation in charitable or community activities or in trade or professional organizations whenever if the Company shall believe Chief Executive Officer believes that the time spent on such activities infringes in any material respect upon the time required by Executive for the performance of his her duties under this Agreement or is otherwise incompatible with those duties.
