Duties Extent of Services. The Director shall serve as a member of the Board of Directors of the Company, and shall assume the duties that the Chairman of the Board may assign. Subject to Section 6 contained herein, nothing in this Agreement shall be con­strued to limit the Director's freedom to engage in other businesses. It is agreed, however, that the Director will devote his best efforts to the needs of the Company, and shall not allow his other business activities to materially interfere with his duties to the Company.

Duties Extent of Services. Employee shall perform for Employer all duties incident to the position of Senior Vice President, under the direction of the Board of Directors, the Chief Executive Officer, and the President of Employer or their designee(s). In addition, Employee shall engage in such other services for Employer or its affiliated companies as Employer from time to time shall direct. The duties, services and reporting relationship of Employee and the title of Employee’s position may be extended, reduced, re-assigned, curtailed or modified unilaterally by Employer from time to time without breaching or affecting the enforceability of the terms of this Agreement. Employee shall use his best efforts in, and devote his entire time, attention and energy, to Employer’s business, and Executive shall not conduct any other activities for pecuniary gain or that are or may be detrimental to Employer’s business.

The precise services of Executive and the title of Executive's position may be extended, curtailed or modified by Bank from time to time without affecting the enforceability of the terms of this Agreement. Executive shall use his best efforts in, and devote his entire time, attention and energy, to Bank's business.

Executive shall use his best efforts in, and devote his entire time, attention, and energy, to Employer's business; provided that nothing contained herein is intended to prohibit Executive from spending a reasonable amount of time managing his personal investments and discharging his responsibilities on civic or religious boards as long as such activities do not interfere with his duties and obligations under this Agreement, and provided further that with the approval of the Board of Directors (which approval shall not be unreasonably withheld), from time to time Executive may serve, or continue to serve, on the boards of directors of, and hold any other offices or positions in companies or organizations which, in the Board's sole judgment, will not present any conflict of interest with Sunshine or any performance of Executive's duties under this Agreement, or which will not violate any applicable statute, rule or regulation.

Duties Extent of Services. (a) As of the Effective Date, Executive will be engaged by the Company as President and Chief Operating Officer reporting directly to Xxxx X. Xxxx, Chief Executive Officer. Duties Extent of Services. 4.1 During her employment with MICROMED, the Employee shall be required to devote her full professional time, attention and energies to the business of MICROMED. 4.2 Employee acknowledges that MICROMED’S business is by nature a worldwide business, and that MICROMED’S business, research and products do not require that it maintain a physical location close to its customers. Employee further acknowledges that the skills, processes and information developed at MICROMED could be utilized directly and to MICROMED’S detriment with any other business anywhere in the world involved in developing a ventricular assist device or a product with the same primary function (a “Competitive Product”). Employee also acknowledges that the nature of her position at MicroMed will bring her into close contact with much of MICROMED’S Confidential Information. Accordingly, for the consideration described in this agreement, Employee agrees to be bound by the following restrictive covenants. 4.2.1 During the term hereof, and for a period of 12 months after the termination hereof for any reason other than the death or disability of the Employee, the Employee shall not, acting alone or in conjunction with others, directly or indirectly, invest or engage, directly or indirectly, in any business anywhere in the world involved in researching or developing a Competitive Product or accept employment with or render services to such a business as a director, officer, agent, employee, independent contractor or consultant, or take any action inconsistent with the fiduciary relationship of an employee to her employer; provided, however, that the beneficial ownership by the Employee of up to three percent of the voting stock of any corporation subject to the periodic reporting requirements of the Securities and Securities Exchange Act of 1934 shall not violate this Section 4.2.1 4.2.2 The Employee agrees that during the term hereof, and for a period of 12 months after the termination hereof for any reason other than the death or disability of the Employee, she shall not at any time, directly or indirectly, (i) induce, entice or solicit (or attempt to induce, entice or solicit) any MICROMED employee to leave MICROMED’S employment, (ii) contact, communicate with, solicit or attempt to solicit the business of any customer or acquisition prospect of MICROMED with whom Employee had any actual contact while employed at MICROMED. 4.2.3 The Employee acknowledges that these restrictive covenants are anc...
