Facilities Fee. A Facilities Fee payable to the Lenders on the earlier of (a) the date on which the Term Loans are repaid or prepaid in full or refinanced and (b) the second anniversary of the date hereof. The Facilities Fee shall be equal to the product of (x) Twenty-Four Million Dollars ($24,000,000) and (y), if such fee is payable on or before the day falling (i) six (6) months after the date hereof, one quarter of one percent (0.25%), (ii) twelve (12) months after the date hereof, one half of one percent (0.50%) or (iii) twelve (12) months and one (1) day after the date hereof, three-quarters of one percent (0.75%).
Facilities Fee. The Company shall have paid to the Purchasers the fees provided for in paragraph 2.C hereof or, upon notice from a Purchaser under such paragraph, such amount shall have been subtracted from the purchase price to be paid by such Purchaser on the Closing Date.
Facilities Fee. Tenant shall pay to Landlord a Facilities Fee in the amount set forth in Paragraph 1 of this Exhibit C. The Facilities Fee represents an amount agreed upon by Landlord and Tenant as an appropriate sum for the use by Tenant of the utility systems provided by Landlord in the Shopping Center.
Facilities Fee. The Facilities Fee shall be an amount per ton equal to the Facilities Charge in effect at the time of termination of the agreement. Appropriate credit shall be made by Freeport for any pre-payment of the Facilities Charge made prior to Termination.
Facilities Fee. In consideration of the facilities, equipment, supplies and related goods and services that MP will need to purchase, acquire or provide to conduct the Evaluation Program, Cempra will pay MP a non-refundable, non-creditable fee (the “Facilities Fee”) in the aggregate amount of Three Hundred and Seventy Five Thousand Dollars ($375,000), payable by wire transfer of immediately available funds, within five (5) Business Days of the Effective Date.
Facilities Fee. DGBI shall provide the office facilities set forth in Section 2.3 of this Agreement as detailed in Attachment One in consideration for payment of a Facilities Fee in the amount of $24,787. The Facilities Fee shall be invoiced with the Monthly Service Fee, and shall be payable by Client concurrently therewith.
Facilities Fee. The District will charge a monthly facilities fee for, issuing an annual statement of energy received by the District and for record keeping and related accounting associated with administration of the program. The fee will also include other fixed costs associated with connecting the Producer to the District’s distribution system (i.e. a dual meter base adapter). The fee will be based on monthly costs, and will be indicated on the annual statement sent to the Producer. The Producer though is obligated to pay this fee at the time the statement is issued. This fee is subject to change by the Kittitas County PUD Board of Commissioners.
Facilities Fee. For the entire Term in exchange for the rights to use the Hotel, as set forth herein (whether occupied or not by Group) as set forth in Section 2.2, Group shall pay the Owner as follows: payment for the Initial Term, paid by wire, immediately upon execution of this Agreement, which is the sum of $[ ] (which includes applicable tax). Thereafter, Group shall pay the Owner for any Extension Term, by wire, in advance of each week, the sum of $[ ], which is calculated on a per room, per night basis, plus applicable sales and use tax. The payment obligations for the Initial Term and the Extension Term are hereinafter referred to as the “Facilities Fee”.
Facilities Fee. Borrower shall pay to Lender an annual facilities fee of Ten Thousand and No/100 Dollars ($10,000.00), which fee shall be fully earned by Lender and payable on the date that Lender makes its initial disbursement under this Agreement and on each anniversary of the date hereof during the Original Term.
Facilities Fee. As rental for the Storage Facilities, the use of the Licensed Premises and the other services to be provided by the Company under this Agreement, Xxxx shall pay the Company at the rate of $1 per month. Xxxx shall have the option to prepay, on the Commencement Date, the rent for the use of the Storage Facilities for the period from the Commencement Date through May 31, 2018.
