Feedstock Unloading Turn Time. KiOR shall use commercially reasonable efforts to unload Feedstock from trucks within a forty-five (45) minute turn-time. Turn-time shall be measured by the total cycle time from entry to the scale ramp to the exit off the scale ramp via a mutually agreed upon virtual perimeter or “Geofence” created for the FCU as defined consistent with this Section 5.4 by global positioning system (“GPS”) during the delivery and unloading process. (a) CLE will provide KiOR a weekly report of daily turn times. If turn-time exceeds forty-five (45) minutes on an average daily basis for more than thirty (30) days during any quarter, KiOR shall pay, in addition to the price of Feedstock set forth in Section 7 below, an additional 10% surcharge to the price of Feedstock, on the volume that is delivered on days with average turn-times greater than forty-five (45) minutes on an average daily basis during the quarter.

The purchase or delivery of power and other services that the Interconnection Customer may require will be covered under separate agreements, if any, or applicable provisions of NYISO’s or Connecting Transmission Owner’s tariffs. The execution of this Agreement does not constitute a request for, nor agreement to, provide Energy, any Ancillary Services or Installed Capacity under the NYISO Services Tariff or any Connecting Transmission Owner’s tariff. If Interconnection Customer wishes to supply or purchase Energy, Installed Capacity or Ancillary Services, then Interconnection Customer will make application to do so in accordance with the NYISO Services Tariff or Connecting Transmission Owner’s tariff.

  • DELIVERY: FOB DESTINATION, INSIDE DELIVERY, FREIGHT PAID Whenever possible, contractors should give the ordering entities 3 working days prior notice of any deliveries and/or installations. Furniture contractors will not be responsible for the removal/moving of existing furnishings unless requested by the ordering entity. Contractors should verify site readiness prior to delivery. All deliveries will be made during normal working hours unless otherwise arranged with the ordering entity. Contractor will communicate any scheduling delays and/or changes immediately. Agencies will not be responsible for any freight damage, concealed or otherwise.
