Filing of Articles. Within thirty (30) Business Days following the Closing, the Company shall file the Restated Articles, together with the special or written shareholders resolution approving its adoption, with the Registrar of Companies of the Cayman Islands, and the Company shall provide the Series D Purchasers a copy of the filed Restated Articles for its record.
Filing of Articles. The Fund will have filed the Articles with the Commission prior to the Closing Time.

Following the approval of this Agreement by the shareholders of the Amalgamating Corporations in accordance with the OBCA, and in accordance with the terms and conditions of the Business Combination Agreement, including the satisfaction or waiver of all conditions precedent set forth in the Business Combination Agreement, 79North shall file the Articles of Amalgamation with the Director as provided under the OBCA.
Filing of Articles. Before the Closing, the Company shall have duly filed the Restated Articles (in the form attached hereto as Exhibit D) with the Registrar of Corporate Affairs in the BVI.

Filing of Articles. Immediately following the Closing, the Restated Articles, together with the special resolution of the Company on approving its adoption, shall have been duly filed with the Registrar of Companies in the Cayman Islands.
