Filing of Articles. Within thirty (30) business days following the Closing, the Restated Articles together with the special or written shareholders resolution on approving its adoption shall have been duly filed with the Registrar of the Companies in Cayman Islands and the Company shall provide the Series C-3 Purchaser a copy of the filed Restated Articles for record.
Filing of Articles. The Fund will have filed the Articles with the Commission prior to the Closing Time.

Filing of Articles. Before the Closing, the Company shall have duly filed the Restated Articles (in the form attached hereto as Exhibit D) with the Registrar of Corporate Affairs in the BVI.

Filing of Articles. The Amended Articles of Incorporation shall have been filed with the Secretary of State of the State of Mississippi at Closing.

Following the approval of this Agreement by the shareholders of the Amalgamating Corporations in accordance with the CBCA, and in accordance with the terms and conditions of the Business Combination Agreement, including the satisfaction or waiver of all conditions precedent set forth in the Business Combination Agreement, HempCo shall file the Articles of Amalgamation with the Director as provided under the CBCA.
Filing of Articles. Following the approval of this Agreement by the shareholders of the Amalgamating Corporations in accordance with the OBCA, and in accordance with the terms and conditions of the Definitive Agreement, including the satisfaction or waiver of all conditions precedent set forth in the Definitive Agreement, MariCann shall file the Articles of Amalgamation with the Director as provided under the OBCA.
