Filings, Notices and Certain Governmental Approvals. Promptly after Closing Buyer shall (a) record the Assignments of the Assets and all federal assignments executed at the Closing in all applicable real property records and/or, if applicable, all state or federal agencies, (b) send notices to vendors supplying goods and services for the Assets of the assignment of the Properties to Buyer and, if applicable, the designation of Buyer as the operator thereof, (c) actively pursue the unconditional approval of all applicable Governmental Authorities of the Assignments of the Assets to Buyer and the designation of Buyer (if applicable), as the operator thereof and (d) actively pursue all other consents and approvals that may be required in connection with the assignment of the Assets to Buyer and the assumption of the liabilities assumed by Buyer hereunder, that shall not have been obtained prior to Closing. Buyer obligates itself to take any and all action required by any Governmental Authority in order to obtain such unconditional approval, including but not limited to, the posting of any and all bonds or other security that may be required in excess of any applicable or existing lease, pipeline or area-wide bond.

Buyer obligates itself to take any and all action required by the Bureau of Land Management, the State of Wyoming, or any other regulatory agency in order to obtain such unconditional approval, including but not limited to, the posting of any and all bonds or other security that may be required in excess of its existing lease, pipeline or area-wide bond.

As soon as reasonably possible after the Closing, but in no event later than 120 days after such Closing, Laredo shall use its commercially reasonable efforts to cause the Company to change its name so as not to include, and cease doing business under any name that includes, the word “Broad Oak Energy” or any derivative thereof. Notwithstanding anything to the contrary in this Agreement, upon such name change, Laredo shall use its commercially reasonable best efforts to notify and transfer the “Broad Oak Energy” name and the website, email addresses and logo associated therewith to Xxxxx X. Xxxxxxxx. Promptly after Closing, Laredo shall use its commercially reasonable efforts to make all requisite filings with, and provide the requisite notices to, the appropriate Governmental Authorities to accomplish all transactions contemplated by this Agreement.
