FIL'S WARRANTIES. 5.1 FIL warrants to FICO(HK) that it is and will remain until the expiry of the Fico Call Option Period or the Fico Call Option Completion Date, whichever is the later, the sole legal and beneficial owner of the Fico Call Option Shares, subject to the Fico Call Option and the Put Option (as defined in the Put Option Agreement).
