For Additional Usages. A. PAC NYC may furnish captured material to another not-for-profit Theatre to promote and publicize a separately produced production, with additional payment to each Employee in the original production as negotiated by AGMA. However, no payment will be required in the case of a Transfer to another not-for-profit Theatre. i. For a tour, if PAC NYC provides its captured material to a presenter who, in turn, elects to promote a season, and that season includes non-AGMA productions, the material provided by PAC NYC must indicate that the Employees are represented by AGMA. ii. If captured material is used to promote a season that includes any non-AGMA production, the captured material must indicate that the Employees are represented by AGMA. iii. Material may not be used to promote a non-AGMA production. B. PAC NYC may furnish captured material to a commercial producer, for promotional and publicity purposes only, provided the commercial producer makes additional payment to each Employee as negotiated by the commercial producer with AGMA. C. PAC NYC may use captured material from its own previous production or a production from another Theatre. The original production will be so identified (e.g., “footage from original Xxxxxxx Theatre cast 2009”). However, no identification is necessary in the case of a Transfer from another not-for-profit Theatre. D. AGMA may obtain and use footage from any production (including closed productions) for purposes of promoting and branding AGMA, provided AGMA credits both PAC NYC and the production. E. PAC NYC may furnish captured material to a not-for-profit Theatre or a commercial producer for the purposes of encouraging or facilitating tours, Transfers of PAC NYC’s production, future productions of the play, or further developmental work on the play. Material so furnished under this section may not be used for promotion or publicity and such material shall be housed on a mutually agreed platform that is password protected. F. PAC NYC may make a Recording of an entire performance available on a password-protected or otherwise restricted website for use during in-class instruction at a K-12 educational institution and all institutions of higher learning, but only as part of a curriculum developed by the Theatre and/or the educational institution and provided PAC NYC is not compensated outside of an administrative fee.   • CLAIMS FOR ADDITIONAL COST 12.3.1 If the Contractor wishes to make a claim for an increase in the Contract Sum, he shall give the Architect written notice thereof within twenty days after the occurrence of the event giving rise to such claim. This notice shall be given by the Contractor before proceeding to execute the Work, except in an emergency endangering life or property in which case the Contractor shall proceed in accordance with Paragraph 10.3 of these General Conditions. No such claim shall be valid unless so made. If the State and the Contractor cannot agree on the amount of the adjustment in the Contract Sum, it shall be determined by the Architect. Any change in the Contract Sum resulting from such claim shall be authorized by Change Order. 12.3.2 If the Contractor claims that additional cost is involved because of, but not limited to, (1) any order by the State to stop the Work pursuant to Paragraph 3.3 of these General Conditions where the Contractor was not at fault, or (2) failure of payment by the State pursuant to Paragraph 9.7(of these General Conditions), the Contractor shall make such claim as provided in Subparagraph 12.3.1 of this agreement. 12.3.3 The Architect will have authority to order minor changes in the Work not involving an adjustment in the Contract Sum or an extension of the Contract Time and not inconsistent with the intent of the Contract Documents. Such changes shall be effected by written order and shall be binding on the State and Contractor within 10 days unless the Contractor or the State objects to the change in writing.

  • Intent to Limit Charges to Maximum Lawful Rate In no event shall the interest rate or rates payable under this Agreement, plus any other amounts paid in connection herewith, exceed the highest rate permissible under any law that a court of competent jurisdiction shall, in a final determination, deem applicable. Borrower and the Lender Group, in executing and delivering this Agreement, intend legally to agree upon the rate or rates of interest and manner of payment stated within it; provided, however, that, anything contained herein to the contrary notwithstanding, if said rate or rates of interest or manner of payment exceeds the maximum allowable under applicable law, then, ipso facto, as of the date of this Agreement, Borrower is and shall be liable only for the payment of such maximum as allowed by law, and payment received from Borrower in excess of such legal maximum, whenever received, shall be applied to reduce the principal balance of the Obligations to the extent of such excess.

  • Other Usages The following usages shall apply in interpreting this Agreement: (i) references to a governmental or quasigovernmental agency, authority or instrumentality shall also refer to a regulatory body that succeeds to the functions of such agency, authority or instrumentality; and (ii) “including” means “including, but not limited to.”

  • Amendments; Waivers; No Additional Consideration No provision of this Agreement may be waived or amended except in a written instrument signed by the Company, Parent and the Shareholders. No waiver of any default with respect to any provision, condition or requirement of this Agreement shall be deemed to be a continuing waiver in the future or a waiver of any subsequent default or a waiver of any other provision, condition or requirement hereof, nor shall any delay or omission of any Party to exercise any right hereunder in any manner impair the exercise of any such right.

  • Maximum Charges In no event whatsoever shall interest and other charges charged hereunder exceed the highest rate permissible under law. In the event interest and other charges as computed hereunder would otherwise exceed the highest rate permitted under law, such excess amount shall be first applied to any unpaid principal balance owed by Borrowers, and if the then remaining excess amount is greater than the previously unpaid principal balance, Lenders shall promptly refund such excess amount to Borrowers and the provisions hereof shall be deemed amended to provide for such permissible rate.

  • Payment of Additional Costs If termination of this contract is due to the failure of the Engineer to fulfill its contract obligations, the State may take over the project and prosecute the work to completion, and the Engineer shall be liable to the State for any additional cost to the State.

  • Designation of Additional Accounts The Seller hereby delivers herewith a computer file or microfiche or written list containing a true and complete list of all such Additional Accounts specifying for each such Account, as of the Additional Cut-Off Date, its account number, the aggregate amount of Receivables outstanding in such Account and the aggregate amount of Principal Receivables in such Account. Such file or list shall, as of the date of this Assignment, supplement Schedule 1 to the Agreement.
