Force Majeure Termination Events. Either Party may terminate the affected portion of this Agreement upon not less than [***] written notice to the other Party if (i) any Force Majeure Event (as defined in § 8.1 above) applicable to the other Party results in that other Party’s inability to perform its obligations under this Agreement for a period of [***] or more; or (ii) any Force Majeure Event applicable to the terminating Party results in the terminating Party’s inability to perform its obligations under this Agreement for a period of [***]. Upon any such cancellation, Operator shall pay any invoices for milestones earned or achieved by NextG up to and including the effective date of termination, and upon such payment each party shall thereafter be relieved of all further liability with respect to the cancelled portion of this Agreement except that a party shall continue to be liable for any breaches that occurred prior to the termination.

  • Termination for Force Majeure In the event of a force majeure that lasts longer than thirty (30) days from the date that a Party claiming relief due to the force majeure event gives notice to the other Party, the Party not claiming relief under the force majeure event may terminate this Agreement upon written notice to the other Party. For the avoidance of doubt, the COVID-19 pandemic does not constitute a force majeure event.

  • Event of Force Majeure The Recipient will not be in default by reason only of any failure in the performance of the Project in accordance with Schedule 1 – Statement of Work if such failure arises without the fault or negligence of the Recipient and is caused by any event of Force Majeure.
