Force Majeure 不可抗力. 20.1. In the event that Supplier is prevented from performing any of its obligations under the Agreement for reason of force majeure (being an event unforeseeable and beyond the control of Supplier) and Supplier has provided sufficient proof for the existence of the force majeure, the performance of the obligation concerned shall be suspended for the duration of the force majeure. Signify shall be entitled to terminate the Agreement with immediate effect by written notice to Supplier, immediately if the context of the nonperformance justifies immediate termination, and in any event if the circumstance constituting force majeure endures for more than thirty (30) days and, upon such notice, Supplier shall not be entitled to any form of compensation in relation to the termination. Force majeure on the part of Supplier shall in any event not include shortage of personnel or production materials or resources, strikes, not officially declared epidemic or pandemic, breach of contract by third parties contracted by Supplier, financial problems of Supplier, nor the inability of Supplier to secure the necessary licenses in respect of software to be supplied or the necessary legal or administrative permits or authorizations in relation to the Goods or Services to be supplied. 若供应商因不可抗力（不可预见且超出供应商控制范围的事件）而无法履行任何协议义务，且供应商已提供充分证据证明不可抗力的存在，则在不可抗力期间协议相关义务的履行中止。若无法履行的情势使得立即终止协议合理，且在任何情况下不可抗力事件已持续超过三十(30)天，昕诺飞应有权书面通知供应商后立即终止协议，且在发出上述通知后，供应商不得请求与协议终止有关的任何补偿。在任何情况下，供应商方面之不可抗力不应包括人力、生产材料或资源的短缺、罢工、非官方公告的流行病或传染病、供应商签约厂商违约、供应商财务问题、供应商无法取得所供应软件所需许可或有关所供应货物或服务所需的法律或行政许可或授权。
Force Majeure 不可抗力. 13.1 Neither Party shall be held responsible for failure or delay to perform all or any part of the General Terms and the Sales Contract due to flood, fire, earthquake, snowstorm, drought, hailstone, hurricane, or any other events that are beyond the control of one Party and could not reasonably be expected at the time of conclusion of Contract or have been avoided or overcome by one party. However, the Party whose performance is affected by the event of Force Majeure shall give a notice to the other Party as soon as possible and a certificate or a document of the occurrence of the Force Majeure event issued by the relative authority or a neutral independent third party shall be sent to the other Party no later than 15 days after its occurrence. 如因发生买卖双方均无法控制，且在🎧具订单或签订销售合同时无法合理预见、无法避免、无法克服的事件，如洪水、火灾、地震、暴风雪、干旱、冰雹、飓风等，从而导致无法履行一般条款及销售合同所约定的全部或部分义务，则任 何一方均不承担瑕疵履行或迟延履行的责任。因不可抗力原因而使义务履行受到影响的一方须毫不迟延地将该事件通 知对方，并在不可抗力事件发生后 15 日内向对方发🎧由相关部门或独立的第三方机构🎧具的不可抗力证明文件。
Force Majeure 不可抗力. The Seller shall not be held responsible for being unable to carry out this contract due to Force Majeure such as war, serious fire, flood, typhoon, strike and earthquakes or other events agreed upon by both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advice the Buyer immediately of the occurrence of Force Majeure mentioned above within fourteen days thereafter, the Seller shall send to the Buyer a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances, the Seller, however, are still under obligation to take all necessary measures to expedite the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyer or the Seller shall have the right to cancel the contract. |在履行合同的过程中，由于不可抗力如战争、火灾、洪水、台风, 罢工及地震等因 素或双方认可的其他因素造成卖方不能履行合同，卖方对此不负责任。上述因素可能发生于合同产品的生产、装载或者运输过程中。卖方应在不可抗力事件发生后 14 天之内立即将该事件通知买方，并将事故发生地政府主管机关出具的事故证明书交买方为证。在上述情况下，卖方仍有采取一切必要措施从速交货的责任,如果事故持续 10 个星期以上,买方或卖方有权取消本合同。

Force Majeure 不可抗力. 34.1 The Company shall not be in breach of this Agreement and shall not be liable or have responsibility of any kind for any loss or damage incurred by the Client as a result of any total or partial failure, interruption or delay in the performance of this Agreement occasioned by any act of God, fire, war, civil, commotion, labour dispute, act of government, state, governmental or supranational body or authority, or any investment exchange and/or clearing house, inability to communicate with market makers for whatever reason, failure of any computer dealing system, any other breakdown or failure of transmission in communication facilities of whatever nature, between the Company and the Client or any third-party whatsoever, or any other reason (whether or not similar in kind to any of the above) beyond our reasonable control (a “Force Majeure Event”). 在 公 司 与 客 户 或 任 何 第 三 方 之 间 偶 然 发 生 任 何天灾、火灾、战争、民众骚乱、劳动争议以及政府、国家、政府机构、超国家团体或当局或任何投资交易所和/或清算所的任何行动、不管出于任何原因不能与做市商沟通、任何计算机处理系统出现故障、通信设施出现任何性质的其他损坏或故障或由于任何其他我们控制之外的原因（无论是否实物上与上述任何一种类似）（以下统称为“不可抗力事件”），使得公司不能全部或部分地执行、中断或延迟执行本协议，从而给客户带来任何损失或损害，对此，公司不应视为违反本协议的规定，无需承担法律责任或赔偿责任。
Force Majeure 不可抗力. 16.1 The Owner acknowledges that MTBL shall not have any liability whatsoever or be deemed to be in default of any delay, loss or failure in performance under this Agreement resulting from acts beyond MTBL’s control, including without limitation acts of God, acts of regulations of any governmental or supra-national authority, war or national emergency, accident, fire, lighting equipment failure, telecommunication line failure, endemic, pandemic, epidemic, riot, strikes, lock-outs, industrial disputes (whether or not involving MTBL’s personnel or employees), hostilities, or any transactions entered into through the service or any circumstances which MTBL could not reasonably foresee and provide against. 餐厅拥有者得悉，对于或被视为因 MTBL 无法控制的行为，包括但不限于宗教仪式、政府或国家当局的法规、战争或国家紧急情况、事故、火灾、照明设备故障、电信线路故障、地区疾病、全球瘟疫、流行病、暴乱、罢工、封城、劳资纠纷 （无论是否涉及 MTBL 的职员或员工）、敌对行动， 通过服务进行的任何交易，或 MTBL 无法合理预见和提供的任何情况， 而导致本协议的规定在履行上出现任何延迟、损失或失败，MTBL 均不承担任何责任。
Force Majeure 不可抗力. 14.1 The Company may, in its reasonable opinion, determine that a Force Majeure Event exists, in which case the Company will, in due course, take reasonable steps to inform the BROKER. A Force Majeure Event includes without limitation any act, event or occurrence (including, without limitation, any strike, riot or civil commotion, terrorism, war, act of God, accident, fire, flood, storm, interruption of power supply, electronic, communication equipment or supplier failure, civil unrest, statutory provisions, lock-outs) which, in the Company’s reasonable opinion, prevents the Company from fulfilling the Company’s obligations under this Agreement. 公司可因其合理意见确定不可抗力事件存在，在这种情况下，公司应在适当时间采取合理措施 通知经纪人。不可抗力事件包括但不限于任何行为、重大事件或突发状况（包括但不限于任 何罢工，暴动或社会骚动、恐怖主义、战争、自然灾害、意外事故、火灾、洪水、风暴、 电源供应中断、电子、通信设备或供应失效、内乱、法定条文、停工）。依据公司的合理 意见，不可抗事件会导致公司无法履行本协议下规定的义务。
Force Majeure 不可抗力. The failure or delay of either Party to perform any obligation under this Agreement solely by reason of Force Majeure shall not be a breach of this Agreement and accordingly such Party shall not be liable for any such failure or delay; provided that the Party so prevented from complying herewith shall continue to take all reasonable actions within its power to comply as fully as possible with this Agreement during the period of Force Majeure. The time for performance of such obligations shall be extended accordingly. 任何一方仅因不可抗力而未能或延迟履行本协议规定的任何义务，不构成对本协议的违反，因此，该方不应对任何此类未能或延迟承担责任；但在不可抗力期间，受阻的一方应继续在其权力范围内采取一切合理行动，尽可能完全遵守本协议。履行这些义务的时间应相应延长。

HC shall not be responsible for and shall not be in breach of this Agreement or be liable to you for any losses or costs incurred due to incidents, happenings or events which are beyond HC’s reasonable control. Such incidents may be but is not limited to a failure of the internet, a failure of HC’s systems, break-down in electronic communications, labour dispute, power outage, earthquake, an act of God, flood, war or an act of government. HC 不对任何因公司能力控制范围外的事件或事故而造成的客户损失或费用承担责任，亦不属违约。此类事件可能但不限于是因互联网故障、系统故障、电子通信故障、劳资纠纷、停电、地震、天灾、洪水、战争或政府行为。
Force Majeure 不可抗力 the Exchange shall not be liable to the customer for any loss, cost, damage or expense sustained or incurred by the customer, directly or indirectly, by reason of any cause beyond the Exchange ’ s control, including but not limited to, natural disasters, acts of god, civil unrest, war, insurrection, international intervention, governmental action (including, without limitation, exchange controls, forfeitures, nationalizations, devaluations), market conditions, inability to communicate with any relevant person or entity or any breakdown or failure of any transmission or communication system or computer facility, whether belonging to the Exchange , customer or any market or any settlement or clearing system. 交易所不对客户，因任何交易所可控制外的原因，包括但不仅限于，自然灾害 天灾、动乱、战争、叛乱、国际干预、政府行为(包括但不仅仅限于外汇管制、 没收、国有化、贬值)、市场条件、无法沟通、任何有关个人或实体，或任何任 何传输、通信系统或计算机设施，是否关于交易所的客户、任何市场或任何结 算、清算系统的故障或失效，而客户任何持续或招致的直接或间接损失、费用、损坏负责。
