Forecast Accuracy. 4.7.1 Prior to entering into this Agreement you have agreed with us your Nominated Consumption as shown on the Proposal. 4.7.2 For electricity only, where your actual consumption for the Agreed Supply Period is greater than 120% of your Nominated Consumption/pro-rated Nominated Consumption as applicable (the “Upper Tolerance” and/or “UT”) and the average System Buy Price for the Agreed Supply Period is greater than the Energy- Only Element of the Charges, we may charge you an Electricity Excess Consumption Charge. 4.7.3 For electricity only, where your actual consumption for the Agreed Supply Period is less than 80% of your Nominated Consumption/pro-rated Nominated Consumption as applicable (the “Lower Tolerance” and/or “LT”), except where the average System Sell Price for the Agreed Supply Period is greater than the Energy-Only Element of the Charges, in respect of the difference between your actual consumption at those Premises during the Agreed Supply Period and the Lower Tolerance, we may charge you an Electricity Under Consumption Charge. 4.7.4 For gas only, where your actual consumption for a Contract Year/part-Contract Year at Premises is greater than 120% of the Nominated Consumption/pro-rated Nominated Consumption as applicable (the “Upper Tolerance”) and the average System Marginal Buy Price for that Contract Year/part-Contract Year is greater than the Energy-Only Element of the Charges, we may charge you a Gas Excess Consumption Charge. 4.7.5 For gas only, where your actual consumption for any Contract Year/part-Contract Year at Premises is less than 80% of your Nominated Consumption/pro rated Nominated Consumption as applicable (the “Lower Tolerance” and/or “LT”), except where the average System Marginal Sell Price for that Contract Year/part- Contract Year is greater than the Energy-Only Element of the Charges, in respect of the difference between your actual consumption at those Premises during that Contract Year and the Lower Tolerance, we may charge you a Gas Under Consumption Charge. 4.7.6 Charges applied under this Clause 4.7 shall be payable in accordance with Clause 5.9 of these Terms and Conditions.

Forecast Accuracy. InterDigital shall use reasonable efforts to provide accurate forecasts of Product requirements. With the exception of the firm Purchase Orders, and subject to InterDigital's minimum purchase requirements set forth in Section 2.2 hereto, however, InterDigital shall have no liability to Kenwood for changes to the Product forecasts.

  • Data Accuracy The Custodian has no responsibility for, or duty to review, verify or otherwise perform any investigation as to the completeness, accuracy or sufficiency of, any data or information provided by or on behalf of the Client, any persons authorized by the Client, any Third Party Agent, any Market Participant or any Authorized Data Sources, except to the extent the Custodian has agreed in writing to perform reconciliations, variance or tolerance checks or other specific forms of data review under this Agreement.

  • Reports Accurate All Servicer Certificates, Monthly Reports, information, exhibits, financial statements, documents, books, Servicer Records or other reports furnished or to be furnished by the Servicer to the Administrative Agent or a Lender in connection with this Agreement are and will be accurate, true and correct in all material respects.

  • Information provided to be accurate All financial and other information which is provided in writing by or on behalf of the Borrower under or in connection with any Finance Document will be true and not misleading and will not omit any material fact or consideration.

  • Preserve Accuracy of Representations and Warranties Each party hereto will refrain from taking any action which would render any of its representations and warranties contained in this Agreement untrue, inaccurate or misleading as of Closing and the Effective Time. Through Closing, each party will promptly notify the other parties of any lawsuit, claim, audit, investigation, administrative action or other proceeding asserted or commenced against such party that may involve or relate in any way to another party to this Agreement. Each party hereto will promptly notify the other parties of any facts or circumstances that come to its attention and that cause, or through the passage of time may cause, any of a party's representations, warranties or covenants to be untrue or misleading at any time from the date hereof through Closing.

  • Accuracy of the Company’s Representations and Warranties Each of the representations and warranties of the Company in this Agreement and the other Transaction Documents that are qualified by materiality or by reference to any Material Adverse Effect shall be true and correct in all respects, and all other representations and warranties shall be true and correct in all material respects, as of the date when made and as of the Closing Date as though made at that time, except for representations and warranties that are expressly made as of a particular date, which shall be true and correct in all respects as of such date.

  • Representations and Warranties Accurate All representations and warranties of Buyer contained in this Agreement shall be true and accurate in all material respects on and as of the Closing Date as if made again at and as of such date.

  • Accuracy of the Investor’s Representations and Warranties The representations and warranties of the Investor shall be true and correct in all material respects.

  • Accuracy of the Company’s Representations and Warranties; Performance by the Company The Company shall have delivered the certificate required to be delivered pursuant to Section 4(o) on or before the date on which delivery of such certificate is required pursuant to Section 4(o). The Company shall have performed, satisfied and complied with all covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by the Company at or prior to such date, including, but not limited to, the covenants contained in Section 4(p), Section 4(q) and Section 4(r).

  • Certification of Accuracy The following parties have reviewed the information above and certify, to the best of their knowledge, that the information they have provided is true and accurate.

  • Representations and Warranties True and Correct The representations and warranties of the Borrower contained in the Credit Agreement, as amended hereby, are true and correct on and as of the date hereof as though made on and as of the date hereof, except to the extent that such representations and warranties expressly relate to a specified date, in which case such representations and warranties are hereby reaffirmed as true and correct when made.
