Foreign Person, Etc. No Shareholder is a "foreign person" as defined in Section 1445(f)(3) of the Code. Clear Software has no permanent establishment in any foreign country, as defined in the applicable tax treaty, if any, between the United States and such foreign country. Clear Software is not, and never has been, a United States real property holding corporation within the meaning Section 897(c)(1)(A)(ii) of the Code and SPSS is not required to withhold tax with respect to the Shares as a result of the Acquisition by reason of Section 1445 or any other provisions of the Code. Clear Software has not participated in an international boycott within the meaning of Section 999 of the Code. Clear Software has no foreign assets.

The Investor has, by reason of its business and financial experience, such knowledge, sophistication and experience in financial and business matters and in making investment decisions of this type that it is capable of (a) evaluating the merits and risks of an investment in the Note, the Warrant and the Investor Shares and making an informed investment decision, (b) protecting its own interests and (c) bearing the economic risk of such investment for an indefinite period of time.
