Form of Authority Notes; Delivery. The Authority Notes shall be issued hereunder and delivered from time to time in the form of fully registered notes and in the aggregate principal amount of $12,000,000 to be dated the Date of Delivery and to mature (subject to prior redemption at the prices and dates and upon the terms and conditions hereinafter set forth) on the Principal Payment Date. The Authority Notes shall bear interest on the unpaid Principal Amount thereof, calculated as set forth in Section 2.03 hereof; provided, however, that in no event shall the rate of interest on the Authority Notes exceed at any time the Maximum Rate. If an Event of Default shall have occurred and be continuing, the interest rate on the Authority Notes shall be the rate on the Authority Notes on the day prior to the occurrence of such Event of Default, except as otherwise provided in Section 2.03(e). The Authority Notes shall be issuable in Authorized Denominations. The Authority Notes shall be issued in substantially the form set forth in Exhibit A of this Indenture with such variations, insertions or omissions as are appropriate and not inconsistent therewith and shall conform generally to the rules and regulations of any governmental authority or usage or requirement of law with respect thereto. The Authority Note certificates shall be numbered and lettered from one upward preceded by the letters “[R ]” prefixed to the number and may bear such additional letters, numbers, legends or designations as the Note Registrar determines are desirable. The Authority Notes shall initially be registered to the Bank.

  • CERTIFICATE OF AUTHORITY The Trust, the Adviser and the Sub-Adviser shall furnish to each other from time to time certified copies of the resolutions of their Boards of Trustees/Directors or executive committees, as the case may be, evidencing the authority of officers and employees who are authorized to act on behalf of the Trust, a Fund Account, the Adviser and/or the Sub-Adviser.

  • Access by and Authentication of Authorized Users Authorized Users of the Participating Institutions shall be granted access to the Licensed Materials pursuant to the following:

If the End User’s service has not been disconnected and services have not yet been established, Carrier will be responsible to pay the applicable service order charge for any order it has placed. If the End User’s service has been disconnected and the End User’s service is to be restored with Frontier, Carrier will be responsible to pay the applicable nonrecurring charges as set forth in Frontier applicable tariff to restore the End User’s prior service with Frontier.

  • Warranty of Authority Each person signing this Amendment warrants that he or she is duly authorized to do so and to bind the respective party.

  • Scope of Authority Committee meetings will be used for communications between the parties, to share information and to address concerns. The committee will have no authority to conduct any negotiations or modify any provision of this Agreement. The committee’s activities and discussions will not be subject to the grievance procedure in Article 30.

  • Evidence of Authority The Custodian shall be protected in acting upon any instructions, notice, request, consent, certificate or other instrument or paper believed by it to be genuine and to have been properly executed by or on behalf of the Fund. The Custodian may receive and accept a certified copy of a vote of the Board of Directors of the Fund as conclusive evidence (a) of the authority of any person to act in accordance with such vote or (b) of any determination or of any action by the Board of Directors pursuant to the Articles of Incorporation as described in such vote, and such vote may be considered as in full force and effect until receipt by the Custodian of written notice to the contrary.
