Foundation Documents and Good Standing. The Administrative Agents shall have received, in sufficient quantity for the Administrative Agents and the Lenders, (i) a photocopy of the Genlyte Xxxxxx Certificate of Formation and the Articles or Certificate of Incorporation of each of the other Credit Parties and any and all amendments and restatements thereof, certified as of a recent date by the Secretary of State of the state of its formation or organization, as the case may be, (ii) a certificate the Secretary of State of the state of its formation or organization, as the case may be, dated as of a recent date, listing all charter documents affecting each Credit Party and certifying as to the good standing of each Credit Party, and (iii) a photocopy of an executed copy of the Genlyte Xxxxxx Operating Agreement (including all amendments thereto), together with a copy of the By-Laws or equivalent governing documents of the other Credit Parties, in each case certified as true, correct and in full force and effect by a Principal Officer of such Credit Party.
