Fraudulant documents. Generally applicants should not reside outside Egypt for more than six months at the time of application. • The application for the GERLS scholarship program is limited to 3 trial times. • XXXXX Alumni targeting a PhD title are encouraged to apply for the GERLS program after returning back to Egypt provided that they fulfill the requirements of the GERLS program. • XXXXX candidates who have been accepted but could not make use of the scholarship due to justifiable reasons or budget limitations will be exempted from the pre-selection procedure and will be automatically invited to the interview of the call following the year of their application providing that they are applying with the same proposal and a new acceptance letter with a recent date. Normal application procedure is, however, mandatory for these candidates. • Applicants should indicate any changes in their proposal and what has been developed and/or changed since the last call • GERLS scholarship holders and applicants whose spouse has been granted a DAAD or MoHE scholarship should inform the DAAD accordingly. • Candidates should pass the language course in Egypt and Germany as well. The required level to be reached in Germany is B2, unless otherwise prescribed by the host university. • Medicine candidates should be employed by their home university 2 years after residency period. • Changes in the submitted proposal will require the approval of the independent selection committee and a new endorsement letter of the home university. • The award of scholarships is subject to the availability of funds.

  • Related Agreements Any agreement related to this Plan shall be in writing and shall provide that: (i) such agreement may be terminated at any time, without payment of any penalty, by a vote of a majority of the Independent Trustees or by a vote of the holders of a “majority” (as defined in the 0000 Xxx) of the Fund's outstanding Class C voting shares; (ii) such termination shall be on not more than sixty days’ written notice to any other party to the agreement; (iii) such agreement shall automatically terminate in the event of its “assignment” (as defined in the 1940 Act); (iv) such agreement shall go into effect when approved by a vote of the Board and its Independent Trustees cast in person at a meeting called for the purpose of voting on such agreement; and (v) such agreement shall, unless terminated as herein provided, continue in effect from year to year only so long as such continuance is specifically approved at least annually by a vote of the Board and its Independent Trustees cast in person at a meeting called for the purpose of voting on such continuance.

(b) The Company has not (i) declared or paid any dividends, or authorized or made any distribution upon or with respect to any class or series of its capital stock, (ii) incurred any indebtedness for money borrowed or incurred any other liabilities individually in excess of RMB100 million or in excess of RMB200 million in the aggregate, (iii) made any loans or advances to any Person, other than ordinary advances for travel expenses, or (iv) sold, exchanged or otherwise disposed of any of its assets or rights, other than the sale of its inventory in the ordinary course of business. For the purposes of (a) and (b) of this Subsection 2.5, all indebtedness, liabilities, agreements, understandings, instruments, contracts and proposed transactions involving the same Person (including Persons the Company has reason to believe are affiliated with each other) shall be aggregated for the purpose of meeting the individual minimum dollar amounts of such subsection. (c) The Company is not a guarantor or indemnitor of any indebtedness of any other Person.

  • Modifications of Organizational Documents The Parent and the Borrower shall not, and shall not permit any Loan Party or other Subsidiary to, amend, supplement, restate or otherwise modify its articles or certificate of incorporation, by-laws, operating agreement, declaration of trust, partnership agreement or other applicable organizational document if such amendment, supplement, restatement or other modification could reasonably be expected to have a Material Adverse Effect.

  • Applicable Law, Entire Agreement This Agreement will be governed by and construed in accordance with the law of the State of New York. This Agreement supersedes all prior agreements and understandings relating to the subject matter hereof.

  • Superseded Agreements This Service Agreement supersedes and cancels, as of the effective date hereof, the following Service Agreement(s): N/A.
