Common use of Full Time Commitment Clause in Contracts

Full Time Commitment. Each Founder undertakes and covenants to each Investor that, as long as he/she is and remains an employee of any of the Group Companies, he/she shall commit all of his/her efforts to furthering the business of the Group Companies and shall not, without the prior written consent of each Investor, either on his/her own account or through any of his/her Affiliates, or in conjunction with or on behalf of any other Person, (i) possess, directly or indirectly, the power to direct or cause the direction of the management and business operation of any entity whether (a) through the ownership of any equity interest in such entity, or (b) by occupying half or more of the board seats of the entity; or (c) by contract or otherwise; or (ii) devote time to carry out the business operation of any other entity.

Full Time Commitment. Each The Founder undertakes and covenants to each Investor that, as long as he/she is and remains an employee commencing from the date of any this Agreement until the first anniversary of the Group CompaniesQualified IPO or Trade Sale, he/she he shall commit all of his/her his efforts and devote all of his time to furthering further the business Business of the Group Companies and shall not, without the prior written consent of each Investorall the Investors, either on his/her his own account or through any of his/her his Affiliates, or in conjunction with or on behalf of any other Person, (i) possess, directly or indirectly, the power to direct or cause the direction of the management and business operation of any entity whether (aA) through the ownership of any equity interest in such entity, or (bB) by occupying half or more of the board seats of the entity; or (cC) by contract or otherwise; or (ii) devote time to carry out the business operation of any other entity.

Each The Founder undertakes and covenants to each Investor the Purchaser that, as long as he/she is and he remains an employee of any of the Group Companies, he/she he shall commit all of his/her his efforts to furthering the business of the Group Companies and shall not, without the prior written consent of each Investorthe Purchaser, either on his/her his own account or through any of his/her his Affiliates, or in conjunction with or on behalf of any other Person, (i) possess, directly or indirectly, the power to direct or cause the direction of the management and business operation of any entity whether (aA) through the ownership of any equity interest in such entity, or (bB) by occupying half or more of the board seats of the entity; or (cC) by contract or otherwise; or (ii) devote time to carry out the business operation of any other entity or work for or be employed by any other entity.

Full Time Commitment. Each The Founder undertakes and covenants to each Investor the Investors that, as long as he/she is and remains an employee commencing from the date of any this Agreement until the fifth (5th) anniversary of the Group CompaniesClosing, he/she he shall commit all of his/her his efforts to furthering the business of the Group Companies and shall not, without the prior written consent of each Investorthe Investors, either on his/her his own account or through any of his/her his Affiliates, or in conjunction with or on behalf of any other Person, (i) possess, directly or indirectly, the power to direct or cause the direction of the management and business operation of any entity whether (aA) through the ownership of any equity interest in such entity, or (bB) by occupying half or more of the board seats of the entity; or (cC) by contract or otherwise; or (ii) devote time to carry out the business operation of any other entity.

Each Founder undertakes and covenants to each Investor the Investors that, as long as he/she is and remains an employee commencing from the date of any this Agreement until the first (1st) anniversary of the Group Companiesa Qualified IPO or a Change of Control, he/she he shall commit all of his/her his efforts to furthering the business of the Group Companies and shall not, without the prior written consent of each Investorthe Investors, either on his/her his own account or through any of his/her his Affiliates, or in conjunction with or on behalf of any other Person, (i) possess, directly or indirectly, the power to direct or cause the direction of the management and business operation of any other entity whether (aA) through the ownership of any equity interest in such entity, or (bB) by occupying half or more of the board seats of the entity; or (cC) by contract or otherwise; or (ii) devote time to carry out the business operation of any other entity.
