Licensing of Background Intellectual Property, if agreed to by the relevant Parties, shall be the subject of a separate licensing agreement between the relevant Parties. Each Party has used reasonable efforts to list all relevant Background Intellectual Property, but Background Intellectual Property may exist that is not identified. No Party shall be liable to another Party because of failure to list Background Intellectual Property. Proper supporting documentation shall accompany each invoice as may be required by the Department. By submittal of each invoice, the Municipality certifies that it has adhered to all applicable state and federal laws and regulations as set forth in this Agreement. INTERNAL APPROVALS Reimbursement to the Municipality shall be made upon approval of the invoice by the Department’s Financial Management Division.
