Further Assurances and Co-operation. 14.1 The parties hereto shall with reasonable diligence do all such things and provide all such reasonable assurances and execute all such documents, agreements and other instruments as may reasonably be necessary or desirable for the purpose of carrying out the provisions and intent of this Agreement. The parties further acknowledge that the implementation of this Agreement will require the co-operation and assistance of each of them. In particular, the parties agree to work in co-operation with any Sub-agent that Computershare may duly appoint. The fees and expenses to Computershare of any such Sub-agent shall be added to and form part of its compensation hereunder, and shall be reimbursed by the Company as set forth above, provided that the parties may, with such Sub-agent, agree that the Sub-agent shall invoice the Company directly.

In particular, the parties agree to work in co-operation with any Sub-agent that Endeavor Trust may duly appoint. The fees and expenses to Endeavor Trust of any such Sub-agent shall be added to and form part of its compensation hereunder, and shall be reimbursed by the Company as set forth above, provided that the parties may, with such Sub-agent, agree that the Sub-agent shall invoice the Company directly.
Further Assurances and Co-operation. At any time, and from time to time, after the Effective Date, each party will execute such additional instruments and take such action as may be reasonably requested by the other party to confirm or perfect title to any property transferred hereunder or otherwise to carry out the intent and purposes of this Agreement. At any time, and from time to time, the period commencing on the date hereof and ending on the third (3rd) anniversary of the Effective Date, SMTI agrees to use its best efforts to cause its independent certified public accountants to audit SMTI's financial statements in accordance with generally accepted auditing standards and to furnish such financial statements to Marquee in proper form to be included in a Registration Statement filed under the Securities Act of 1933, as amended, and to furnish all necessary reports and consents as may be required to be included in such Registration Statement or offering memorandum.

The fees and expenses to National Issuer of any such Sub-agent shall be added to and form part of its compensation hereunder, and shall be reimbursed by the Company as set forth above, provided that the parties may, with such Sub-agent, agree that the Sub-agent shall invoice the Company directly.

The fees and expenses to Alliance of any such Co-agent shall be added to and form part of its compensation hereunder, and shall be reimbursed by the Corporation as set forth above.
Further Assurances and Co-operation. 12.1 The parties hereto shall with reasonable diligence do all such things and provide all such reasonable assurances and execute all such documents, agreements and other instruments as may reasonably be necessary or desirable for the purpose of carrying out the provisions and intent of this Agreement. The parties further acknowledge that the implementation of this Agreement will require the co-operation and assistance of each of them. In particular, the parties agree to work in co-operation with any Sub-agent that Olympia may duly appoint. The fees and expenses to Olympia of any such Sub-agent shall be added to and form part of its compensation hereunder, and shall be reimbursed by the Corporation as set forth above, provided that the parties may, with such Sub-agent, agree that the Sub- agent shall invoice the Corporation directly.
12.2 The Corporation hereby represents that any account to be opened by, or interest to be held by, Olympia in connection with this Agreement, for or to the credit of the Corporation, either (i) is not intended to be used by or on behalf of any third party; or (ii) is intended to be used by or on behalf of a third party, in which case the Corporation hereby agrees to complete, execute and deliver forthwith to Olympia a declaration in such form as may be satisfactory to Olympia, as to the particulars of such third party.
Further Assurances and Co-operation. After Closing, each party agrees to take all actions and execute all documents reasonably requested by the other party in order to further the purposes of this Agreement. Such cooperation shall include without limitation execution of any documents required in connection with transferring title and Buyer’s obtaining title insurance on the Real Property located in South Bend, Indiana.
Further Assurances and Co-operation. Subject to the terms and conditions of this Agreement, at any time and from time to time after the execution and delivery hereof, at either party's request and without further consideration, the other party shall execute and deliver, or cause to be executed and delivered, to the party making such request such other documents, instruments and certificates, provide such materials and information and take such other actions as the party making such request may reasonably deem necessary or desirable in order to give effect to the provisions of this Agreement.
