General Condition. a. Be clean by airline standards, with a current Certificate of Airworthiness from the FAA, as applicable, fit for flight with all systems operational, according to their intended use, and having been maintained in compliance with the previous lessee's maintenance program. b. Have installed the full complement of Engines and other equipment, parts, components, accessories and loose equipment as is normally required in operation of such Aircraft as would remain installed on the Aircraft were the Aircraft to continue operating in continued regular service with each such item functioning in accordance with its intended use. c. Comply with the Manufacturer's original type certificate, and any revisions up to the date of delivery. Lessor will also provide any appropriate maintenance releases from any certified maintenance facilities. d. Comply with all Airworthiness Directives ("AD's") and FAR's issued by the FAA affecting such model aircraft which by their terms require compliance on or before the next scheduled "C" check (under the Lessee's maintenance program) following the Commencement Date, without waiver, exemption or extension (proof of which shall be provided by Lessor on or after the Commencement Date), and shall have a current Certificate of Airworthiness and eligible for registration with the FAA. e. Xxxxxx will provide all required technical documents in its possession relating to the Aircraft to enable the Aircraft to be registered and operated in the United States and any other such documents that are in Lessor's possession. f. Be stripped and painted in Lessee's livery including wings and horizontal stabilizers at Lessor's cost. g. Adhere strictly to the corrosion prevention and treatment cards ("CPCP") as prescribed in the Maintenance Program. Such CPCP tasks shall be cleared to the next "C" or "4C" or "8C" check, whichever is next due following delivery of the Aircraft to the Lessee. Lessor and Lessee shall further agree the CPCP tasks which shall be accomplished at the integration check at delivery to Lessee. h. Neither the Aircraft nor any Engine shall have open, deferred or placarded log book items. i. All structural inspection items shall be cleared to the next "C" or "4C" or "8C" check, whichever is next due following delivery of the Aircraft to Lessee. j. Xxxxxx shall use reasonable commercial efforts to provide Lessee with adequate information to transition the Aircraft to Lessee's maintenance program.

General Condition. a. Without prejudice to paragraph 4 of Schedule F, should Lessee be granted any variances or extensions from the FAAFAA with respect to any airworthiness directives applicable to Lessee or should the FAA approved maintenance program for Lessee permit carry-over or deferral of maintenance items, performance of which, but for such deferral or carry-over, would have otherwise been required thereby, Lessee shall perform or cause to be performed, at Lessee's expense (subject to Clause 13), all such items and airworthiness directives prior to return of the Aircraft to Lessor. Without prejudice to paragraph 10 of Schedule F, there shall be no untreated or uncorrected corrosion as applicabledetermined by the pre-delivery inspection by Lessor, fit for flight with all including corrosion within the fuel tanks. Without prejudice to Schedule F, a borescope inspection, engine power runs and systems operational, according functional checks shall be performed at Lessee's expense immediately prior to their intended usereturn of the Aircraft to Lessor, and having been maintained Lessee shall provide evidence satisfactory to Lessor reflecting the correction of any non-compliance found during such inspection with the Maintenance Program. Lessor shall have the right, at least seven days prior to the expiration date of the Lease Term, to inspect the Aircraft to determine whether the Aircraft will be in compliance with the previous lessee's maintenance program.
b. Have installed requirements for return at the full complement expiration of Engines and other equipment, parts, components, accessories and loose equipment as is normally required in operation of such Aircraft as would remain installed on the Aircraft were the Aircraft to continue operating in continued regular service with each such item functioning in accordance with its intended use.
c. Comply with the Manufacturer's original type certificate, and any revisions up Lease Term. Immediately prior to the date of re-delivery, Lessor shall be permitted to conduct a walk around inspection, and a systems ground check. An engine power run shall be performed by Lessee in accordance with the Maintenance Program. Lessee, at its expense, shall correct, or cause to be corrected, all defects exceeding Maintenance Program limitations. Lessor's right of inspection shall include the right to conduct a separate inspection flight by Lessor will also provide any appropriate maintenance releases from any certified maintenance facilities.
d. Comply with all Airworthiness Directives ("AD's") and FAR's issued by the FAA affecting such model aircraft which by their terms require compliance on or before the next scheduled "C" check (under the utilizing Lessee's maintenance program) following flight crew or its designated representative of the Commencement Date, without waiver, exemption or extension Aircraft of not more than 2 hours duration (proof the cost of which shall be provided borne by Lessee). At all times during such inspection flight Lessee's flight crew shall be in command of the Aircraft; PROVIDED, HOWEVER, that Lessor's qualified pilots may operate the controls. Immediately prior to the re-delivery and acceptance, partsa final walk around inspection and a systems ground check, components, accessories and loose equipment as is normally required in operation of such Aircraft as would remain installed on the Aircraft were the Aircraft to continue operating in continued regular service with each such item functioning including engine power runs in accordance with its intended use.
c. Comply with the Manufacturer's original type certificatemaintenance manual, and any revisions up will be performed in conjunction with a flight demonstration of the Aircraft, at Lessee's cost, utilizing the manufacturer's standard maintenance manual procedures. Two (2) representatives of Lessor will be on board as observers. Lessee, at its expense, will correct, or cause to the date of deliverybe corrected, all defects exceeding Manufacturer's maintenance manual limitations. Lessor will also provide any appropriate maintenance releases from any certified maintenance facilities.
d. Comply with all Airworthiness Directives ("AD's") and FAR's issued by the FAA affecting such model aircraft which by their terms require compliance on or before the next scheduled "C" check (under the Lessee's maintenance program) following the Commencement Date, without waiver, exemption or extension (proof of which shall be provided by entitled to have inspectors present during the re-delivery work performed on the Aircraft at the designated maintenance facility. (iii) have in existence a valid and effective certificate of airworthiness (and if required by Lessee, a valid and effective export certificate of airworthiness or equivalent) issued by the Aircraft air authority of the previous lessee. In the case of an export certificate of airworthiness, such certificate shall not be issued any earlier than ten (10) days prior to continue operating in continued regular service the Delivery Date;
(iv) comply with each such item functioning the manufacturer's original specifications, except as modified in accordance with its intended use.
c. Comply with the Manufacturer's original type certificateservice bulletins or letters, and any revisions up Airworthiness Directives, Air Authority approved data (all of which should have supporting State of Design approval);
(v) have undergone, immediately prior to the date of delivery. Lessor will also provide any appropriate Delivery Date, the maintenance releases from any certified maintenance facilities.workscope specified in the Aircraft Lease Agreement;
d. Comply with (vi) have had accomplished all outstanding Airworthiness Directives ("AD's") affecting that model of Aircraft requiring compliance prior to the Delivery Date and FAR's issued by within the FAA affecting such model aircraft which by their terms require AD Compliance Period; for this purpose, compliance on or before the next scheduled "C" check (under the Lessee's maintenance program) following the Commencement Date, without waiver, exemption or extension (proof of which shall be provided by Lessor on terminating action if the latest date permitted by such Airworthiness Directive for required compliance by terminating action falls within the AD Compliance Period. In no event shall there be any time extensions, waivers, deviations or after the Commencement Date), and shall have a current Certificate alternative means of compliance with any Airworthiness and eligible for registration with the FAA.

g. Adhere strictly to the corrosion prevention and treatment cards ("CPCP") as prescribed in the Maintenance Program. Such CPCP tasks shall be cleared to the next "C" or "4C" or "8C" check, whichever is next due following delivery of the Aircraft to the Lessee. Lessor and Lessee shall further agree the CPCP tasks which shall be accomplished at the integration check at delivery non-transferable to Lessee.
h. Neither (vii) have installed all applicable vendor's and manufacturer's service bulletin kits received free of charge from previous lessee that relate to the Aircraft nor any Engine shall and, to the extent not installed, those kits will be furnished free of charge to Lessee;
(xxxx) xx in such external livery specified in the Aircraft Lease Agreement;
(ix) have all signs and decals clean, secure and legible;
(x) meet the requirements of FAR Part 36, Appendix C, Stage 3 noise compliance as in effect at the Delivery Date, without waiver or restriction;
(xi) have no open, deferred deferred, continued, carry over, or placarded maintenance items or watch items and all log book items.
i. All structural inspection items discrepancies shall be cleared cleared;
(xii) have had all repairs and damage requiring repetitive inspections or future upgrading repaired to a permanent repair standard such that future repetitive inspections or upgrading shall not be required; and
(xiii) have all its systems serviceable and fully operational for their intended functions in accordance with the next "C" or "4C" or "8C" check, whichever is next due following delivery of the Aircraft to Lessee.
j. Xxxxxx shall use reasonable commercial efforts to provide Lessee with adequate information to transition the Aircraft to LesseeManufacturer's maintenance programmanual specifications.
