Good Faith and Cooperation. Each of the Parties agrees to cooperate in good faith, reasonably, and in such a manner as may be necessary or appropriate to implement and give effect to the terms, conditions, and agreements contained herein. Each Party agrees to contact the other in writing (email is acceptable) regarding any claims, disputes or controversies, and allow the other Party no less than 30 days to cure the issue and/or demonstrate that there is in fact no issue present under these Terms of Service prior to initiating any formal legal action, payment dispute, or publishing any disparaging comments detrimental to the reputation, business, or business relationships the other.
Good Faith and Cooperation. Except where this Agreement states that a Party may expressly exercise a right or render a decision in its “sole and absolute discretion”, a Party will exercise its rights under this Agreement in its good faith business judgment. A Party will perform its obligations under this Agreement in a commercially reasonable manner consistent with industry practices and in compliance with Applicable Law. A Party will promptly take such actions, provide such information and sign such documents as the other Party may reasonably request to obtain the benefits and exercise the rights granted, and to perform the obligations imposed, under this Agreement.
Good Faith and Cooperation. It shall execute all of its obligations under this Agreement professionally and in good faith and shall cooperate with the other Party in order to carry out the terms and provisions of this Agreement during the Term. Each Party covenants that it shall agree to support the reasonable routine efforts of the other Party to work to resolve any disputes which may arise during the Term.

Each party covenants with the others that they shall act with the utmost good faith towards the other, shall comply with reasonable requests for information in relation to the Enterprise Zone submitted from time to time and will not do anything which would deliberately put the other in breach of its obligations under this Memorandum of Understanding.
Good Faith and Cooperation. 20.1 The Grant Recipient covenants with the Council that:
20.1.1 it shall at all times act with the utmost good faith towards the Council and the LEP (as applicable) and shall at all times co-operate fully with the Council and the LEP (as applicable) in relation to this Agreement;
20.1.2 it shall comply with all the Council's and the LEP's (as applicable) reasonable requirements in relation to the Project from time to time; and
20.1.3 it shall not do anything which would put the Council or the LEP in breach of any of its obligations in relation to the Grant and the Local Growth Fund programme.
Good Faith and Cooperation. The parties hereto covenant, warrant and represent to each other good faith, complete cooperation and honesty in fact in the performance of all obligations pursuant to the Agreement. All promises and covenants are mutual and dependent.

The Parties agree to cooperate in good faith regarding the fulfillment of their respective responsibilities under this Services Agreement recognizing that their mutual cooperation and good faith are essential to the success of their relationship and the achievement of the business objectives that are basis of this Services Agreement.

Good Faith and Cooperation. 7.1. Each of the parties undertakes to the other that in all their activities and in the performance of their obligations and exercise of their rights under this Agreement they will at all times act in good faith towards the other party and have regard to the reasonable benefits and entitlements which the other party may expect from this Agreement.
7.2. Notwithstanding subclause 7.1, should a party breach any of the terms of this Agreement then the party not in breach will not be constrained or prevented from taking any action which it deems prudent or reasonable to protect its rights and in those circumstances, subclause 7.1 does not apply.
