Good Faith Cooperation; Consents. Each Party shall use commercially reasonable efforts to cooperate with the other Party in all matters relating to the provision and receipt of the Services. Such cooperation shall include exchanging information, providing electronic access to systems used in connection with the Services, performing true-ups and adjustments and obtaining all consents, licenses, sublicenses or approvals necessary to permit each party to perform its obligations hereunder. Donnelley Financial and LSC shall maintain reasonable documentation related to the Services and cooperate with each other in making such information available as needed.

The Parties will cooperate with each other in making such information available as needed in the event of a tax audit or Regulatory Proceeding, whether in the United States or any other country.

Such cooperation shall include exchanging information necessary for the provision of the Services (subject to Section 1.6(a) of this Agreement), performing true-ups and adjustments and obtaining all applicable consents, licenses, sublicenses or approvals necessary to permit each party to perform its obligations hereunder. The costs of obtaining such consents, licenses, sublicenses or approvals shall be paid by Quantum. The parties will maintain reasonable documentation related to the Services and cooperate with each other in making such information available as needed, in all cases in compliance with all applicable law.
