GOVERNMENTAL AUTHORISATION, THIRD PARTY CONSENTS. Except as set forth in Section 3.4 of the Disclosure Letter, no Consent or other action by, or notice to, or Filing with, any Governmental Authority or any other Person, and no lapse of a waiting period under any applicable Law is necessary or required in connection with the execution, delivery or performance, by or enforcement against such Seller of this Agreement or the other Transaction Documents to which it is a party or the Contemplated Transactions.

GOVERNMENTAL AUTHORISATION, THIRD PARTY CONSENTS. No governmental approval, permit, compliance, exemption, authorisation, or waiver that are required, in order to enable such Person to execute and deliver this Agreement to which it is a party, is necessary or required in connection with the execution, delivery or performance by, or enforcement against the Company of the transactions contemplated therein. LITIGATION There are no contractual or tortious or any other claims, pending against the Company and the Company has not received any notice of any claim that has been threatened, at law, in equity, in arbitration or before any governmental authority against the Company.

  • Third Party Consents No governmental authority or other third party consents (including but not limited to approvals, licenses, registrations or declarations) are required in connection with the execution, delivery or performance by the Assuming Institution of this Agreement, other than such consents as have been duly obtained and are in full force and effect.

  • Governmental Approvals No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required in connection with the due execution, delivery and performance by any Loan Party of any Loan Document to which it is or will be a party.

  • Governmental Approval Any Governmental Approval shall have been revoked, rescinded, suspended, modified in an adverse manner or not renewed for a full term, and such revocation, rescission, suspension, modification or non-renewal has, or could reasonably be expected to have, a Material Adverse Effect.

  • Required Consents No consent shall be required for any assignment except to the extent required by subsection (b)(i)(B) of this Section and, in addition:

  • Governmental Consents No permit, consent, approval or authorization of, or declaration to or filing with, any governmental authority is required in connection with the execution, delivery and performance by the Company of this Agreement or the consummation by the Company of any other transactions contemplated hereby.

  • Government Approvals All authorizations, consents, orders or approvals of, or declarations or filings with, or expiration of waiting periods imposed by, any governmental authority necessary for the consummation of the transactions contemplated by this Agreement shall have been filed, occurred or been obtained.
