Grant of Stock Option; Expiration Date. The Company shall grant to Optionee the right to purchase shares of Common Stock, pursuant to the terms, provisions and conditions of this Agreement (the shares of Common Stock pursuant to which Optionee shall acquire the right to purchase are referred to hereinafter as the "Option Shares"). For any day on which Optionee provides Consulting Services to the Company, Optionee shall receive an option with respect to the number of Option Shares set forth in the table below depending on the number of hours of Consulting Services that Optionee provides to the Company on such day as indicated in the table below: Number of Hours of Number of Consulting Services Provided Option Shares Received

Grant of Stock Option; Expiration Date. The Company hereby grants to the Optionee, under the terms and conditions hereinafter specified, the right to acquire up to 20,000 Shares of the Company's common stock with par value of $0.30 per share; the aforesaid number of Shares shall be the "Total Number of Shares Covered by This Stock Option Agreement." The option granted hereunder shall become effective on the effective date of this Agreement as set forth above ("Date of Grant"), and shall expire at 12:00 Midnight on the earlier date to occur of May 31, 1998 or the first annual anniversary date of Optionee's death (hereinafter the "Expiration Date"). In the event of Optionee's death prior to the Expiration Date, this option shall be exercisable until the Expiration Date by the legal representative of the estate of the Optionee or the person(s) who acquires the rights of Optionee hereunder by bequest or inheritance as a result of the death of Optionee.
Grant of Stock Option; Expiration Date. The Company shall grant to Optionee the right to purchase shares of Common Stock, pursuant to the terms, provisions and conditions of this Agreement (the shares of Common Stock pursuant to which Optionee shall acquire the right to purchase are referred to hereinafter as the "Option Shares"). For each hour that Optionee provides Consulting Services to the Company in excess of the monthly retainer amount indicated on Schedule II hereto, Optionee shall receive an option with respect to 100 Option Shares. At the end of each month, Optionee shall notify the Company in writing as to the number of hours (on a day-by-day basis) of Consulting Services provided by Optionee to the Company during such month. After the Company's review of Optionee's written notification, the Company and Optionee shall enter the number of Option Shares awarded for such month on Schedule I hereto. The option granted hereunder with respect to any Option Shares awarded hereunder shall become effective on the entry of the award on Schedule I hereto with respect to such Option Shares and shall expire five years after the last day of the month with respect to which such Option Shares were awarded. In the event of Optionee's death prior to the otherwise applicable expiration date, the options created by this Agreement shall be exercisable for one year after Optionee's death by the legal representative of the estate of Optionee or the person(s) who acquires the rights of Optionee hereunder by bequest or inheritance as a result of the death of Optionee.

  • Acceleration of Stock Options The Company shall accelerate and make immediately exercisable any and all unmatured stock options (whether or not such stock options are otherwise exercisable) which Executive then holds to acquire securities from the Company; provided, however, that Executive shall have ninety (90) days after such termination of employment to exercise any outstanding stock options and after such ninety (90) days any and all unexpired stock options shall lapse; and, provided, further, however, any tax benefit provisions with respect to any stock options shall apply to any and all unmatured stock options (whether or not such stock options are otherwise exercisable). If as a result of such acceleration of incentive stock options the $100,000 limitation would be exceeded with respect to an optionee, such incentive stock options shall be converted, as of the date such incentive stock options become exercisable, to non-qualified stock options to the extent necessary to comply with the $100,000 limitation and the Company shall pay to such optionee an additional cash payment equal to the tax benefit to be received by the Company attributable to its federal income tax deduction resulting from the exercise of such converted non-qualified stock options.

Payment of the Stock Option purchase price for the Option Shares may be made by one or more of the following methods: (i) in cash, by certified or bank check or other instrument acceptable to the Administrator; (ii) in the form of shares of Stock that are not then subject to restrictions under any Company plan and that have been held by the Optionee for at least six months prior to the exercise date; or (iii) by the Optionee delivering to the Company a properly executed exercise notice together with irrevocable instructions to a broker to promptly deliver to the Company cash or a check payable and acceptable to the Administrator to pay the Stock Option purchase price, provided that in the event the Optionee chooses to pay the Stock Option purchase price as so provided in this subsection (iii), the Optionee and the broker shall comply with such procedures and enter into such agreements of indemnity and other agreements as the Administrator shall prescribe as a condition of such payment procedure. Payment instruments will be received subject to collection. The delivery of certificates representing the Option Shares will be contingent upon the Company’s receipt from the Optionee of full payment for the Option Shares, as set forth above and any agreement, statement or other evidence that the Administrator may require to satisfy itself that the issuance of Stock to be purchased pursuant to the exercise of Options under the Plan and any subsequent resale of the shares of Stock will be in compliance with applicable laws and regulations.
