The term Sublicense shall include any grant of rights under the License by a Sublicensee to any downstream Third Party, such applicable downstream Third Party shall be considered a Sublicensee for purposes of this Agreement.

If Licensee grants a Sublicense without CHOP’s prior written consent, this Agreement (including the License granted by CHOP to Licensee pursuant to Section 2.1 and any permitted sublicenses pursuant to Section 2.4) will automatically terminate.”

The term Sublicense shall include any grant of rights under the License and, solely in connection with a sublicense under a License grant, the DRG Technology License by a Sublicensee to any downstream Third Party to develop, manufacture, use or sell a Licensed Product, such downstream Third Party shall also be considered a Sublicensee for the purposes of this Agreement.

  • Grant of Sublicense Subject to the terms and conditions of this Agreement, Adviser hereby grants to the Trust a non-transferable sublicense to use the Index (and associated data and information) listed on Exhibit A in the manner set forth in, and subject to the terms of, the License Agreement.

Notwithstanding anything to the contrary in this Agreement, for clarity, Licensee shall not have the right to grant sublicenses under Section 2.1 (License Grants) to any Third Party to Manufacture Products or to conduct Process Development.
