Licensor Material definition

Licensor Material means reference standard for the Compound and reference material for Compound impurities.
Licensor Material means the marketing material pertaining to Licensor and the Programs provided by Licensor to Partner.
Licensor Material means all material provided to You by SyncEzy prior to and during Your use of the Licensed Services, including all software, guides, any material setting out or supplementing Additional Terms and any other written communications that are commercially sensitive to SyncEzy.

  • Licensee may access and use Licensor Material solely from within the Territory, unless accessed by an authorized user of the US Government or a federal contractor acting on behalf of the US Government.

  • The Products are offered for access and use in the Territory; as between Licensor and Licensee, Licensee is solely responsible for compliance with Applicable Laws relevant to accessing or using the Licensor Material while outside the Territory.

  • The foregoing limitations of liability in Section 12(b) will not apply with respect to (i) breaches of confidentiality obligations pursuant to this Agreement; (ii) any claims that are the subject of indemnification under this Agreement; (iii) fees and other amounts payable to Licensor for the Licensor Material; or (iv) Licensee’s misappropriation or misuse of the Licensor Material in breach of the terms of this Agreement.

  • In the event of termination of this EULA for any reason, the License will immediately terminate and Licensee must cease all use of the Licensor Material.

  • Licensee shall undertake reasonable efforts to make all Authorized Users aware of the provisions of the Agreement that are applicable to their use of the Licensor Material and shall cause them to comply with such provisions.

  • If Licensor receives from Licensee or any Authorized User any suggestions, ideas, improvements, modifications, feedback, error identifications, or other information related to the Licensor Material or any other Licensor products, offerings or services (“Feedback”), Licensor may use, disclose and exploit such Feedback without restriction and without paying any royalties or other compensation, including to improve the Products and to develop, market, offer, sell and provide other products and services.

Licensor Material or “WorkPro Material” means all material provided to you by WorkPro prior to and during your operation of the Licensed Services, including all software, guides, any material setting out or supplementing Terms of Service and any other written communications that are commercially sensitive to WorkPro.
Licensor Material means the Data and the Products, and all modifications, enhancements, integrations and derivative works thereto.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Controlled technical information means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Technical Information means technical data or computer software, as those terms are defined in the clause at DFARS 252.227-7013, Rights in Technical Data-Non Commercial Items, regardless of whether or not the clause is incorporated in this solicitation or contract. Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.
