Health and Safety Requirements. As it relates to the Purchased Assets, each of the Asset Sale Companies has complied with all applicable Health and Safety Requirements and no action, suit, proceeding, hearing, investigation, charge, complaint, claim, demand, or notice is currently outstanding against any of them alleging any failure to so comply, except for those that would not reasonably be expected to have a Material Adverse Effect.
