Health And Welfare Plans Maintained By Duke Energy Prior To The Distribution Date. (a) Establishment of the Spectra Energy Welfare Plans. Duke Energy or one or more of its Affiliates maintain each of the health and welfare plans set forth on Schedule G attached hereto (the “Duke Energy Welfare Plans”) for the benefit of eligible Duke Energy Participants and Spectra Energy Participants. Effective as of the Distribution Date, Spectra Energy shall, or shall cause a Spectra Energy Affiliate to, adopt, for the benefit of eligible Spectra Energy Participants, health and welfare plans, the terms of which are substantially comparable, in the aggregate, to the applicable terms of the Duke Energy Welfare Plans as in effect immediately prior to the Distribution Date (collectively, the “Spectra Energy Welfare Plans”).
