HPB Circular. (a) As promptly as reasonably practicable following execution of this Agreement, but in any event within the time prescribed by applicable Laws in order to hold the HPB Meeting by no later than May 31, 2015, HPB, in consultation with Bradstone, shall prepare the HPB Circular together with any other documents required by applicable Laws in connection with the HPB Meeting. HPB shall file the HPB Circular in all jurisdictions where the same is required to be filed and mail the HPB Circular as required under applicable Laws. On the date thereof, the Parties shall each ensure that the HPB Circular complies in all material respects with all applicable Laws, including matters mandated by the OSC Undertaking, and that it contains sufficient detail to permit the HPB Shareholders to form a reasoned judgment concerning the matters to be placed before them at the HPB Meeting.

HPB Circular. HPB shall use all commercially reasonable efforts to prepare, in consultation with Bradstone, the HPB Circular and any other documents required under Applicable Securities Law in connection with the HPB Meeting and listing of the HPB Shares on the CSE. HPB shall use commercially reasonably efforts to obtain consents of auditors and other advisors to use financial, technical or expert information in the HPB Circular.

The Design Professional agrees to notify the Owner, at once and in any event within ten calendar days after execution of this Contract, of the amount of money the Owner should budget in order to cover costs identified in the Site Memorandum. The Design Professional agrees that, without cost to the Owner, the Design Professional shall make such proper and reasonable changes in the Site Plan and preliminary foundation design that are either necessary or desirable as required by the Stage One statement and subsequent investigation by the geotechnical engineer (see Subparagraph 1.1.2.6.3) obtained pursuant to the Site Memorandum. All information should be incorporated into the final Site Plan and final foundation design for the Stage Two statement. The Design Professional shall file copies with the Owner and accompany them with a current Statement of Probable Construction Cost, in the format shown in the Forms Packet, as a part of the next submittal required by this Contract. (See ASTM Standard Practice E 1804-02, August 2002, Section 8.4 for guidance on information which is generally developed in site development documents.)

  • Prospectus The prospectus included in a Registration Statement, as amended or supplemented by any prospectus supplement and by all other amendments thereto, including post-effective amendments, and all material incorporated by reference into such Prospectus.

  • How to File an Appeal of a Prescription Drug Denial For denials of a prescription drug claim based on our determination that the service was not medically necessary or appropriate, or that the service was experimental or investigational, you may request an appeal without first submitting a request for reconsideration. You or your physician may file a written or verbal prescription drug appeal with our pharmacy benefits manager (PBM). The prescription drug appeal must be submitted to us within one hundred and eighty (180) calendar days of the initial determination letter.   • LEAD WARNING STATEMENT Housing built before 1978 may contain lead-based paint. Lead from paint, paint chips, and dust can pose health hazards if not managed properly. Lead exposure is especially harmful to young children and pregnant women. Before renting pre-1978 housing, lessors must disclose the presence of lead-based paint and/or lead-based paint hazards in the dwelling.   • Incorporation of Prompt Payment Policy Statement into Contracts The provisions of this Exhibit shall apply to all Payments as they become due and owing pursuant to the terms and conditions of this Agreement, notwithstanding that NYSERDA may subsequently amend its Prompt Payment Policy by further rulemaking.

  • COMPTROLLER’S REPORT ON CHAPTER 313 AGREEMENTS During the term of this Agreement, both Parties shall provide the Comptroller with all information reasonably necessary for the Comptroller to assess performance under this Agreement for the purpose of issuing the Comptroller’s report, as required by Section 313.032 of the TEXAS TAX CODE.
