IFC Reliance. The Borrower acknowledges that it makes the representations and warranties in Section 4.01 (Representations and Warranties) with the intention of inducing IFC to enter into this Agreement and that IFC enters into this Agreement on the basis of, and in full reliance on, each of such representations and warranties.
IFC Reliance. (a) The Guarantor acknowledges that it makes the representations in Section 4.01 with the intention of inducing IFC to enter into this Agreement and the IFC Loan Agreement and that IFC enters into this Agreement and the IFC Loan Agreement on the basis of, and in full reliance on, each of such representations.
IFC Reliance. The Company acknowledges that it has made the representations and warranties in Section 6.01 (Representations and Warranties), with the intention of inducing IFC to enter into this Agreement and each of the other Transaction Documents to which it is a party and to make the IFC Subscription and that IFC has entered into this Agreement and each of the other Transaction Documents to which it is a party and made the IFC Subscription on the basis of and in full reliance on such representations and warranties.
IFC Reliance. The Borrower acknowledges that it makes the representations and warranties set out in Section 3.01 (Representations and Warranties) with the intention of inducing IFC to enter into this Agreement and the other IFC Financing Documents and that IFC enters into this Agreement and the other IFC Financing Documents on the basis of, and in full reliance on, each of such representations and warranties.
IFC Reliance. Each Obligor acknowledges that it makes the representations and warranties in Section 3.01 with the intention of inducing IFC to enter into this Agreement and the other Transaction Documents (and the Participants to enter into the Participation Agreement) and that IFC enters into this Agreement and the other Transaction Documents (and the Participants will enter into the Participation Agreement) on the basis of, and in full reliance on, each of such representations and warranties.
IFC Reliance. Chindex acknowledges that it makes the representations and warranties in Section 3.01 with the intention of inducing IFC to enter into this Agreement and that IFC enters into this Agreement on the basis of, and in full reliance on, each of such representations and warranties.
IFC Reliance. Each of the Co-Borrowers acknowledges that it makes the representations and warranties in Section 4.01 (Representations and Warranties) with the intention of inducing IFC to enter into this Agreement and that IFC enters into this Agreement on the basis of, and in full reliance on, each of such representations and warranties.
IFC Reliance. The Bank acknowledges that it makes the representations and warranties in Section 4.01 (Representations and Warranties) with the intention of inducing IFC to enter into this Agreement and that IFC enters into this Agreement in full reliance on each of them.
IFC Reliance. Each Grantor and the Company acknowledges that it has made the representations and warranties in Section 3. 1 (Grantors’ and Company’s Representations and Warranties), with the intention of inducing IFC to enter into this Amendment Agreement and that IFC has entered into this Amendment Agreement on the basis of and in full reliance on each of such representations and warranties.
IFC Reliance. The Company acknowledges that it has made the representations and warranties in Section 4.01 (Representations and Warranties of the Company), with the intention of inducing the IFC Investors to enter into this Agreement and each of the other Transaction Documents to which it is a party and to make the IFC Shares purchase and that the IFC Investors have entered into this Agreement and each of the other Transaction Documents to which it is a party and made the IFC Shares purchase on the basis of and in full reliance on such representations and warranties. Each of the representations and warranties is to be construed independently and (except where this Agreement provides otherwise) is not limited by any provision of this Agreement or another representation and/or warranty.
