Immediate Termination upon Notice in Certain Circumstances. In addition to all other remedies provided by Law or in equity, this Agreement may be terminated upon written notice to the other party subject to the following: By the Road Commission when the Facilities have not been used by the Licensee to provide Communications services for a period of one hundred and eighty (180) days; By the Road Commission if Licensee has not started the construction and installation of the Facilities within the ROW one year from the Commencement Date and two years from the Commencement Date if by such time construction and installation of the Facilities is not complete; By the Road Commission after sixty (60) days’ prior written notice to Licensee and after opportunity to meet with representatives of the Road Commission, if the Road Commission reasonably determines that Licensee's continued use of Public Rights-of-Way will adversely affect public health or safety in a demonstrable manner; or If the other party (the “Defaulting Party”) has failed to perform any of its material obligations under this Agreement, provided, that the non-defaulting party (the “Non-Defaulting Party”) shall provide the Defaulting Party with a notice of the Defaulting Party's failure to perform or comply and provide the Defaulting Party with sixty (60) days from the date of the notice to cure the failure to perform or comply to the Non-Defaulting Partys reasonable satisfaction.

  • Termination for Catastrophe In event of Catastrophic Damage, this contract may be modified un- der B8.32, following rate redetermination under B3.32, or terminated under this Subsection. Such termination shall not be considered a termination under B8.34.
