Incorporation and Good Standing of Significant Subsidiaries Clause Samples

The "Incorporation and Good Standing of Significant Subsidiaries" clause requires the party to confirm that its major subsidiary companies are legally formed and currently in good standing under the laws of their respective jurisdictions. This typically involves verifying that these subsidiaries have been properly incorporated, have complied with all necessary corporate formalities, and have maintained their legal status by filing required documents and paying fees. The core function of this clause is to assure the other party that the key subsidiaries are valid legal entities, reducing the risk of hidden legal or operational issues that could affect the transaction or agreement.

All of the issued and outstanding capital stock and other equity interests of each Significant Subsidiary have been duly authorized and validly issued, and are fully paid and (except for general partnership interests and directorsqualifying shares) nonassessable; all shares of outstanding capital stock and other equity interests of each Significant Subsidiary held by the Company, directly or through subsidiaries, are owned free and clear of any security interest, mortgage, pledge, lien, encumbrance or claim, except for the pledge of such capital stock or other interests to secure borrowings of the Company or one of its wholly owned subsidiaries.
