Indebtedness Defined. The word "Indebtedness" is used herein in its most comprehensive sense and includes any and all advances, debts, obligations and liabilities of Borrower heretofore, now or hereafter made, incurred or created, whether voluntary or involuntary and however arising, whether due or not due, absolute or contingent, liquidated or unliquidated, determined or undetermined, and whether Borrower may be liable individually or jointly with others, including without limitation, obligations and liabilities arising from notes, repurchase agreements and trust receipts.

Indebtedness Defined. All the above items of indebtedness described in subparagraphs (a) of Section 2.1 and subparagraphs (c) through (f) of Section 2.1 hereof in respect of the Priority Lien Debt, are hereinafter collectively referred to as the "Priority Lien Indebtedness." And all the above items of indebtedness described in subparagraphs (b) of Section 2.1 and subparagraphs (c) through (f) of Section 2.1 hereof in respect of the Parity Lien Debt, are hereinafter collectively referred to as the "Parity Lien Indebtedness"; the Priority Lien Indebtedness and the Parity Lien Indebtedness are collectively referred to as the "Indebtedness".

Notwithstanding the foregoing or anything in this Subordination Agreement to the contrary, the definition of Junior Debt shall not include and this Subordination Agreement shall not apply to any salary, wages, bonuses, stock options, employee benefits, employment contract obligations, split dollar life insurance programs, board fees and other similar compensation paid or owing by Borrower to Creditor in his capacity as an employee or director of Borrower and any reimbursements in the ordinary course related thereto.

Indebtedness Defined. The word "INDEBTEDNESS" as used herein means any and all debts, obligations, or liabilities of Buyer to Seller under the Transfer Agreement executed and delivered by Buyer thereunder (including but not limited to principal, accrued interest and attorneys' fees) whether or not recovery of such Indebtedness may now be or may hereafter become barred by any statute of limitations, or whether such Indebtedness may now be or may hereafter otherwise become unenforceable against, or uncollectible from, Buyer for any reason, including but not limited to Buyer's bankruptcy or insolvency, other principles of equity or usury laws.
Indebtedness Defined. The term "Indebtedness," as used herein, shall mean any and all indebtedness, obligations and amounts of any kind and character whatsoever owed by Borrower to Agent and/or Lenders at any time and from time to time, whether now existing or later arising, including without limitation all obligations and indebtedness evidenced by the Revolving Credit Notes, the Foreign Currency Notes, any Letters of Credit and the Swing Line Note executed by Borrower (or issued on behalf of Borrower with respect to Letters of Credit) to Lenders pursuant to the Credit Agreement, together with any and all extensions, renewals, amendments, modifications, restatements, replacements and substitutions therefor (collectively, the "Notes"), the Credit Agreement and/or the other Loan Documents, and any fees, expenses, and/or costs (including without limitation attorneys' fees) incurred by Agent or Lenders in collecting any of such indebtedness, whether from Borrower, Guarantor, or from any other guarantor or other person or entity at any time liable for any of the Indebtedness (an "Obligor") or any of the properties, rights or assets (if any) securing the Indebtedness at any time, whether owned by Borrower, Guarantor, any Obligor or any other person or entity (the "Collateral"), or in protecting any of Agent's or Lenders' rights with respect to such indebtedness, Borrower, Guarantor, any Obligor or any Collateral.
