Notwithstanding the foregoing provisions of this Section 11.4, no breach, default or event of default under the ABL Credit Documents (other than a breach of the ABL Financial Covenant) shall constitute an Event of Default under this Section 11.4, unless there has been an acceleration of the ABL Loans or termination of the Revolving Credit Commitments (as defined in the ABL Credit Agreement) prior to the scheduled maturity thereof as a result of an event of default under the ABL Credit Documents.
The Administrative Agent hereby assumes primary U.S. withholding, backup withholding and information reporting obligations with respect to all amounts paid or payable to it by the Credit Parties under the Credit Documents.
