Lender Parties shall be entitled to exercise any or all of their rights and remedies under the Credit Documents, this Agreement, or any stipulations or other documents executed in connection with or related to this Agreement or any of the Credit Documents, or applicable law, including, without limitation, the appointment of a receiver.
The Junior Lender and each of the Credit Parties acknowledges, confirms, and agrees that the Credit Documents are legal, valid, binding, and enforceable against the Borrowers and Guarantors in accordance with their terms.
The Senior Secured Lender Parties have not waived any of such rights or remedies, and nothing in this Agreement, and no delay on their part in exercising any such rights or remedies, may or will be construed as a waiver of any such rights or remedies or a waiver of their right to insist upon the strict performance at all times in the future of all of the terms, conditions, covenants, and provisions of this Agreement or the Credit Documents.
This Agreement and the Credit Documents embody the entire understanding between the parties hereto and supersedes all prior agreements and understandings (whether written or oral) relating to the subject matter hereof and thereof.
Upon payment in full of the Credit Obligations at a time when the Borrower does not have any right to any future extension of credit under the Credit Documents, (a) this Agreement shall terminate and be of no further force or effect, and (b) upon the request of the Borrower and at its expense, the Lender shall execute and deliver such documents and take such other steps as may be reasonably necessary to evidence termination of its security interests in the Collateral.
