Common use of Indemnification by Sponsor Clause in Contracts

Indemnification by Sponsor. Sponsor shall indemnify, defend and hold harmless University, its directors, officers, agents and employees against any actions, suits, proceedings, liabilities and damages that may result from the negligent acts or omissions of Sponsor, its officers, agents or employees in connection with this Agreement.

Sponsor shall not be responsible for any acts by employees, students or agents of University for Research carried out under this Agreement.

Sponsor shall indemnify, defend and hold harmless University, its directors, officers, agents and employees against any actions, suits, proceedings, liabilities and damages that may result arising from the negligent acts or omissions of Sponsor, its officers, agents or employees in connection with this Agreement. Sponsor shall give University timely notice of any claim or suit instituted of which it has knowledge that in any way, directly or indirectly, affects or might affect University, and University shall have the right at its own expense to participate in the defense of the same.

Indemnification by Sponsor. Sponsor shall indemnify, defend and hold harmless University, its directors, officers, agents and employees against any third party actions, suits, proceedings, liabilities and damages that may result to the extent arising from the negligent acts or omissions of Sponsor, its officers, agents or employees in connection with this Agreement, or Sponsor’s use of the Final Report or Project Deliverables.
