Common use of Independent Advice Clause in Contracts

Independent Advice. Each Party acknowledges that it has been free to secure independent legal and other advice as to the nature and effect of this Agreement and that it has either taken such independent legal and other advice or dispensed with the necessity of doing so. Further, each Party acknowledges that all the provisions of this Agreement and the restrictions herein contained have been negotiated as between the Parties and are part of the overall intention of the Parties in connection with this Agreement.

Independent Advice. Each Party acknowledges represents that in executing this Agreement it does so with full knowledge of the rights and duties it may have with respect to the other Party. Each Party also represents that it has been free to secure received independent legal and other advice as from its attorney with respect to the nature matters set forth in this agreement and effect the rights and duties arising out of this Agreement and Agreement, or that it has either taken such independent legal and other advice or dispensed with the necessity of doing so. Further, each Party acknowledges that all the provisions of this Agreement and the restrictions herein contained have been negotiated as between the Parties and are part of the overall intention of the Parties in connection with this Agreementwillingly foregoes any such consultation.

Independent Advice. Further, each Party acknowledges that all of the provisions of this Agreement and the restrictions herein contained have been negotiated as between are fair and reasonable in all the Parties circumstances and are part of the overall intention of the Parties in connection with this Agreement.

Independent Advice. 28 Each Party acknowledges that it has been free to secure independent legal and other advice as to the nature and effect of all the provisions of this Agreement and that it has either taken such independent legal and other advice or dispensed with the necessity of doing so. Each Party of the Parties acknowledges and agrees that – 26.8.1 it has been free to secure independent legal and other professional advice (including financial and taxation advice) as to the nature and effect of all of the provisions of this Agreement and that it has either taken such independent legal and other advice or has dispensed with the necessity of doing so. Further, each Party acknowledges that ; and 26.8.2 all of the provisions of this Agreement and the restrictions herein contained have been negotiated as between are fair and reasonable in all the Parties circumstances and are part of in accordance with the overall intention of the Parties in connection with this AgreementParty’s intentions.

Independent Advice. Each Party acknowledges and agrees that it has been free to secure independent legal and other professional advice (including financial and taxation advice) as to the nature and effect of this Agreement and that it has either taken such independent legal and other advice or dispensed with the necessity all of doing so. Further, each Party acknowledges that all the provisions of this Agreement and the restrictions herein contained have been negotiated as between the Parties and are part of the overall intention of the Parties in connection with this Agreement.
